Elias's practice focuses on a wide array of corporate and commercial related matters. He has acted for local and foreign private entities, state owned corporations and banks in respect of various corporate matters across the Middle East. Elias's work includes advising on the incorporation process of entities under Qatar law, mergers and acquisitions, share disposals, shareholder/joint venture agreements, agency contracts and corporate lease agreements.

EXPERIENCE

  • Advising a multinational telecommunications company on the divestment of one of its business lines and the creation of one of the largest telecom tower operators in the MENA region estimated at USD 2.2bn on the share/asset disposals, regulatory issues arising from the disposal, including on telecommunications aspects and disclosure and merger regulatory clearances.
  • Advising a world-leading tyre manufacturer on the USD 225m sale of its off-road tyres and tracks business in an auction process.
  • Advising a US private equity firm on its acquisitions of businesses in the corporate services space.
  • Advising an international telecoms provider in relation to its QAR 1.35bn indirect disposal of its shares in a Qatari listed company; predominantly involved in advising on regulatory and telecoms issues relating to Qatari public shareholding companies, including disclosure and merger regulatory clearances.
  • Advising a NYSE multinational conglomerate on the spin off and restructuring of its subsidiaries in the State of Qatar and on its asset sale.
  • Advising a public entity on the development of a 800 MW solar project and on the development of a 2500MW and 70MIGD independent water and power project.
  • Advising one of the world's largest energy companies on the acquisition of entities based in the United States of America, State of Qatar, United Arab Emirates and the Kingdom of Bahrain from an industrial conglomerate.
  • Advising a NASDAQ listed entity on its commercial arrangements with a regional leading wholesale carrier in the Middle East to build and operate a data centre in Salalah, Oman.
