He has supported domestic and international clients on complex, multi-jurisdiction corporate structuring and implementation projects, including major separation and carve-out mandates involving global groups in the industrial, technology, and aerospace sectors.

EXPERIENCE

  • Advising on a USD35m government-backed development initiative under one of the Kingdom’s key Vision 2030 programs.
  • Advising on major corporate separation and carve-out projects for multinational groups in the aerospace, industrial technologies and digital-industrial sectors, including managing the Saudi implementation of multi-jurisdiction restructuring processes.
  • Working closely with multinational companies on the establishment of their regional headquarters in Saudi Arabia, including advising on RHQ policy, regulatory requirements and ongoing corporate governance matters.
  • Advising global organisations in the technology, mobility and consumer sectors on corporate structuring, regulatory matters and the establishment of their operations in Saudi Arabia.
  • Advising international clients in the healthcare and pharmaceuticals sectors on corporate structuring, regulatory compliance, restructuring processes and the establishment and maintenance of their presence in Saudi Arabia.
  • Advising leading GCC oil and gas, energy and petrochemical entities on joint ventures, commercial arrangements and ongoing operational requirements, including matters connected to significant regional development initiatives.
  • Advising a regional investment group on the acquisition of a Saudi business in the consumer and services sector, and advising private equity clients on transactions involving assets in the Kingdom.
  • Supporting an international investor on its lead participation in an USD8m funding round for a Saudi technology company.
  • Advising an international oil refining company on a comprehensive compliance review and internal investigation, including associated employment considerations.
  • Advising multinational companies on commercial agency and distribution arrangements, including drafting and negotiating documentation and advising on compliance with Saudi regulatory requirements.
  • Conducting corporate regulatory due diligence in the context of share acquisitions, investments and capital increases for various clients.

Prior Experience

Prior to relocating to Saudi Arabia, Hadi worked at a law firm in New Zealand with a practice focused on immigration and refugee matters. He held roles as Legal Officer, Lawyer, and Associate before joining DLA Piper.
