Roberta Andreani concentrates her practice in Energy and Natural Resources Law, particularly in the development of renewable energy projects and in energy transition matters.

In the Projects area, she has experience advising local and foreign clients in M&A transactions, reviewing contracts such as joint ventures, EPC, O&M, and PPA, and in several matters related to the development, financing, construction, and operation of energy, mining, and infrastructure projects. 

Roberta is also part of the Regulatory Markets area, advising clients on general electrical, environmental, and regulatory matters in telecommunications, mining, construction, infrastructure, transportation, food, beverage, chemical, and pharmaceutical sectors.

  • Blue Elephant Energy GmbH in the acquisition of a portfolio of 120 MW solar projects, consisting of 20 PMGD and PMG photovoltaic projects, most of them in the operation phase and others about to operate, located in the regions of Coquimbo, Valparaíso, Metropolitana, O'Higgins, Maule, and Ñuble
  • CarbonFree Technology Inc., during all stages of the development of solar power plants, from the due diligence processes in a greenfield stage to the acquisition, execution of the EPC and O&M agreement, and the operation stage of the power plants. Assistance in the due diligence of over 60 projects and the acquisition of more than 40 power photovoltaic plants in recent years
  • SUSI Partners A.G.in the execution of a Framework Agreement with Biwo Renovables S.A. for the purchase, development, construction, operation, and maintenance of a portfolio of power plants, including PV solar and wind power plants, for approximately 243.6 MW in total capacity
  • Transelec S.A. in the due diligence process and the negotiation and drafting of the SPA for acquiring the Ana María substation owned by Total Energies, located in the north of Chile
  • A European underwriting company, in the due diligence and negotiation process of a buyer-side warranty and indemnity insurance policy, aimed to cover the buyer’s liability in the acquisition of 100% of the shares of Sol de Septiembre SpA, owner of a photovoltaic power plant in operation
  • A company developing large-scale energy storage projects to support the transition to decarbonized electricity grids in an SPA for the sale of 100% of its shares to another energy company to develop a photovoltaic renewable energy project subsequently
  • An energy company in the assessment, structuring, and execution of relevant documents to partner with TEG (Transitional Energy Group) to develop a large-scale renewable project in Tierra del Fuego, Chile. The project contemplates the construction of a wind farm, a desalination plant, a green hydrogen and ammonia production plant, and port facilities to enable the export of this energy source
  • A major manufacturer of components and technological systems for the automotive industry in analyzing the regulations applicable to various elements of its products, specifically car navigation systems
  • One of the world’s leading providers of mining and infrastructure solutions, on energy efficiency compliance, helping them navigate annual reporting requirements, audit procedures, and regulatory risks. We also supported their legal strategy in response to prior unsubmitted declarations
  • Regional construction company on energy efficiency compliance, helping them navigate annual reporting requirements, audit procedures, and regulatory risks
  • A distributor of sodium sulfur batteries in negotiating an MoU, a Supply Agreement, and a Master Service and Maintenance Agreement for developing energy storage projects in Chile
  • An international insurance company in drafting and negotiating the representations and warranties (R&W) insurance policy for a Chilean electricity production company to purchase 100% of the shares of another Chilean renewable energy generation company, which manages two operating wind farms in northern Chile
