Focusing on life science, regulatory industries, M&A, corporate and employment law. Michal daily practice includes helping clients with general corporate, employment and compliance matters, which are essential for the client’s day-to-day needs, as well helping clients with highly specific areas of law, such as pharmaceutical regulation, energy law and competition law.

  • Advising a real estate investment fund on the acquisition of minority interest in three joint venture vehicles from its joint venture partner with payment of the consideration being partly satisfied by the sale of two special purpose vehicles, and involving a restructuring in order to fund the balancing cash payment.
  • Advising a leading India-based global IT, consulting, and business process services company on various compliance, reporting and corporate matters, including advising on MSME Slovak landscape.
  • Advising a US private equity and venture capital fund on due diligence and on transfer of a going concern type of deal (TOGC) of a Slovak leading provider of independent data, research and advisory services for the rented residential sector.
  • Advising a European multinational company with worldwide reach in the chemicals industry on various regulatory matters, such as waste law cross border permit requirements.
  • Advising a multinational market research and consulting firm on a complex due diligence process related to acquisition of the Slovak branch of leading research and data analysis company.
  • Advising a global supplier of food and beverage products to food and industrial markets on the employment aspects of merger process, including the comprehensive assistance with the transfer of undertakings (Protection of Employment) regulations (TUPE).
  • Advising a leading global water solutions company on the reorganization of its business structure in the Slovak Republic in relation to collective dismissals and related labor law matters.
