EXPERIENCE

  • Advising on ongoing governance requirements and corporate secretarial matters for numerous clients across the various jurisdictions in the UAE and GCC. This includes the preparation of meeting notices, agendas, minutes, resolutions and filings with the concerning authorities.
  • Carrying out corporate actions in respect of existing entities, including share transfers, capital increases and reductions, officer changes, amendments to constitutional documents and other related practices.
  • Advising on entity incorporations in the UAE free zones and onshore from start to finish, including assessing options and suitable structures for incorporation. Determining the advantages and disadvantages of various future incorporation, commercialisation structures and reorganisation of various entities across different sectors and advising on optimal establishment locations in consideration of industry and requirements.
  • Advising and implementing the incorporation and related transactions for a leading international publicly listed internet services company on its entry into the UAE market. Establishing various subsidiaries and assisting on share transfer and further transactional advice on the same.
  • Advising and assisting a major conglomerate company in the incorporation and other transactional matters as part of a wider spin off project. 
  • Advising on and assisting in the legal due diligence of a potential joint venture between the subsidiary of a ICT authority and related ICT assets of a publicly listed company.
  • Advising on and drafting memorandum on the strategic mechanics of corporate structuring, advising on ring-fence and protection of related assets. This includes legal considerations relating to a government research and development entity established by federal decree.
  • Assisting and project managing a sizeable transaction between two leading international payment solution providers, including but not limited to, conducting and drafting due diligence report, various research tasks on central bank/SCA registrations and regulations and competition law.
  • Assisting and attending to the practical implementation of a strategic joint venture between a leading mobile and data services operator with a leading telecommunications company which will manage their respective international wholesale requirements across eight markets in the GCC.
