Carnell Cherry is a technology transactions attorney with over 10 years of experience representing public, multinational and emerging growth companies in technology, licensing and commercial transactions in the software, technology, consumer goods and services, healthcare and other industry sectors.
Carnell has worked directly with business stakeholders while serving as the primary outside counsel for a global technology and manufacturing company supporting their software division. In this role, Carnell gained insights from effectively working as an in-house lawyer and brings a business-centric approach and creative approach to her drafting and negotiations on behalf of her clients.
Carnell has extensive experience structuring, drafting and negotiating complex intellectual property licensing and other commercial agreements for both customers and service providers, including on-premises software and software-as-a-service (SaaS) agreements, platform services agreements, channel partner and reseller agreements, master services agreements, and manufacturing, supply and product distribution agreements. A key component of her practice also includes advising clients in developing strategies to evaluate, incorporate and leverage AI in their product offerings and business, and to mitigate risks to ensure responsible use of AI.
Carnell also has experience assisting clients in the intellectual property aspects of buy-side and sell-side M&A transactions.
Carnell is committed to pro bono work and regularly dedicates extensive hours working with the national, nonpartisan Election Protection coalition helping to ensure that all eligible voters have an equal opportunity to vote and have their vote counted.
