Ann-Marie is an insurance and financial services regulatory lawyer, with significant experience advising on high impact regulatory reforms/requirements, product development, product distribution models, AFS and credit licensing and other regulatory project work (such as breach assessment/response and customer remediation programs).

Ann-Marie’s experience also extends to advising on insurance portfolio transfers (under court-approved schemes), the development and negotiation of long-term distribution agreements and significant acquisitions/sales of insurance and financial services entities.

Ann-Marie is a trusted adviser to a range of financial services providers, including general and life insurers and insurance intermediaries, providers of discretionary risk products, insurtech and fintech businesses, payment service providers and credit providers.

She has assisted a significant number of insurance and financial services businesses to navigate through substantive regulatory reforms and advised insurtech/fintech businesses (local and international) on the Australian regulatory framework as they build a presence in this market.

EXPERIENCE

  • Advised APRA-authorised insurers on insurance portfolio transfers under court-approved schemes (including the attainment of necessary APRA/Treasurer approvals), including:
    St Andrew's Insurance Group on the intra-group portfolio transfer of its life and general insurance businesses (the first Australian joint general insurance and life insurance scheme).
    Aioi Nissay Dowa on the portfolio transfer of the insurance book of Aioi Nissay Dowa Insurance Company Limited to Aioi Nissay Dowa Insurance Company Australia Pty Ltd.
    FM Global on the portfolio transfer of the insurance book of FM Insurance Company Limited to Factory Mutual Insurance Company.
  • Advised Royal Automobile Club of Queensland (RACQ) on the formation of a strategic alliance with ASX-listed Insurance Australia Group (IAG), a transformational transaction which includes the significant sale of a 90% interest in RACQ's insurance business to IAG for AUD855 million and entry into a 25-year strategic alliance agreement.
  • Advised St Andrew's Insurance Group on the formation of their partnership with Neilson Financial Services and the launch of three new life insurance products into the Australian market.
  • Advised Aioi Nissay Dowa Insurance Company Australia on its long-term distribution agreement with Toyota Finance Australia.
  • Advised several leading insurance broker and risk advisor groups on the structuring and compliance of their discretionary risk offerings.
  • Advised several fintech payments businesses (providing remittance products, payment platforms and/or prepaid card offerings) on Australian regulatory and licensing requirements, as well as product development and disclosure.
  • Advised a major general insurer on its project to respond to ASIC's request to undertake a pricing promises review, including advising on and facilitating the review process, breach assessment and regulator engagement.
  • Advised multiple major general and life insurers, and other financial service providers, on their projects related to preparation for, and implementation of, reforms arising from the Financial Services Royal Commission (including unfair contract term reviews, design and distribution, anti-hawking and the deferred sales model), as well as assisting eight entities (a combination of general insurers, life insurers, intermediaries and insurtech businesses) with obtaining claims handling authorisations under AFS licences.
  • Assisted a major general insurer to conduct a review of its assessment and response to a large-scale compliance incident, including advising on proposed regulator engagement and remediation.
  • Acted for three general insurers in relation to their response to ASIC's concerns about the sale of add-on insurance, including the development and implementation of the add-on insurance remediation programs.
