Riley Combelic focuses his practice on alternative investments including primaries, secondaries, and co-investments. He represents domestic and international institutional investors and family offices with their investments into various closed-end and open-end funds, including venture capital, crypto/blockchain, private equity, real estate, credit, and infrastructure funds. Riley also negotiates separately managed accounts for clients ranging in size from $25 million to $750 million.
Through this work Riley regularly assists clients in reviewing and negotiating investment documentation, including limited partnership agreements, private placement memoranda, purchase and sale agreements, side letters, subscription agreements, and transfer agreements. Additionally, he advises investors on various limited partnership related issues, including amendments to limited partnership agreements, fund restructurings, and the transfer of limited partnership interests.
Riley also has extensive experience representing major global asset managers in fund formation, acquisitions, and operational matters and spent considerable time in-house with an international asset manager.
