Sophie Conroy has been advising on commercial matters of all descriptions on a local, national and international basis, including sale, supply, agency, distribution, supply chain, services and consultancy agreements, collaboration and development arrangements, franchising, and outsourcing arrangements.

Sophie has experience in advising clients in the consumer goods, retail, food and beverage, and hospitality industries on their international expansion through various franchise and distribution models, including master franchising and joint venture relationships, in the UK, Europe, the Middle East, and Asia. She has also supported high-profile US brands in expanding into these markets.  In addition to advising clients at the beginning of franchise and distribution relationships, Sophie provides ongoing commercial contract support and supply chain advice.

EXPERIENCE

  • Advising a multi-brand retailer on the inception of its franchise program across the Middle East, Africa and Asia PAC.
  • Advising an international F&B franchise on its concession arrangements with UK&I supermarkets.
  • Advising a multinational apparel and accessories retailer on its joint venture and franchise arrangement in the UK; and providing general commercial contract support with: international distribution arrangements, reseller agreements, licensing agreements and master service agreements.
  • Advising an international fast-food franchise, as part of a virtual secondment providing general commercial support, with: procurement and supply chain contracts (including drafting its precedent MSA); drafting and supporting the development of franchise agreements; marketing agreements; aggregator contracts (including Uber Eats and Deliveroo) and collaboration agreements.
  • Advising a British technology company in connection with its distribution and re-selling operations and routes to market.

Prior Experience

Before joining DLA Piper, Sophie worked inhouse at Marshalls plc (manufacturer of natural stone and concrete hard landscaping products) which, amongst other things, included advising on and preparing a variety of high value commercial documents (with both private and public sector organisations). This experience has provided Sophie with a good understanding of the commercial practicalities that companies face and need to consider and she is able to find pragmatic solutions to both complex and non-complex issues that arise.
