Carolina Serrano Correia works in the Corporate and M&A team. She focuses her practice on domestic and cross-border mergers and acquisitions, private equity transactions and general corporate advisory work.

She advises national and international clients on a broad range of corporate transactions, including acquisitions, joint ventures and restructurings across multiple sectors, with particular experience in technology, energy, infrastructure and media.

She is involved in all stages of transactions, from initial structuring and due diligence through to negotiation and execution of transaction documents. She is focused on delivering practical and business-oriented legal advice, supporting clients in the implementation of complex transactions and strategic investments.

  • Advising a Portuguese private equity fund on the acquisition of a controlling shareholding in an IT services group operating in Portugal and Spain, strengthening its position in the Iberian SME digital transformation market.
  • Advising the founding shareholder of a Portuguese industrial and construction group on a complex transaction with an international investment platform, including the entry of a majority shareholder and the creation of a joint venture holding company designed to consolidate several industrial businesses.
  • Advising a private equity fund on an investment of up to EUR 15M in a Portuguese renewable energy company operating an innovative solar energy-as-a-service model, supporting the expansion of residential photovoltaic solutions and the development of scalable clean energy infrastructure. 
  • Advising the founders of a leading Portuguese IT outsourcing company on the sale of a controlling shareholding to a multinational engineering and technology group, including full transaction support from investor identification through to negotiation and execution of transaction documents, while ensuring management team continuity post-closing.
  • Advising a leading Portuguese mobility group on the acquisition of control over a passenger transport operator, including legal due diligence, negotiation of the share purchase agreement and merger control filing with the Portuguese Competition Authority.
  • Advising a Portuguese media group and its shareholders on the disposal of a controlling shareholding to an international investment fund.
