Elena Davanzo has gained consolidated experience in advising national and international clients in corporate transactions including assistance in the preliminary phase (drafting of the letter of intent, due diligence, preliminary agreements, shareholders agreements, by-laws) as well as in the signing, closing and post-closing phases (drafting and negotiating of shares' sale and purchase agreement, lease/acquisition of going concern agreements).
In addition, she has gained experience in extraordinary transactions such as right issue, de-merger, national and cross border merger and in acquisition procedure involving companies under reorganisation procedures (such as composition with creditors, extraordinary administration according to ex d.l. 8 July 1999, n.270, etc.).
Moreover, she offers continuous assistance to international groups in relation to commercial agreements with particular reference to draft and review of supply agreements, distribution agreements also within selective distribution systems, general terms of sales (including online ones), agency agreements, licensee agreement, consultancy agreement, lease, bailment, consignment/ corner agreements, vending and sponsorship.
