Evelyn Do represents sponsors and institutional investors in private fund formation, investment, and other strategic transactions across the private equity, real estate, and venture capital sectors.

Her practice focuses on structuring and negotiating fund documentation, including limited partnership agreements, subscription agreements, and side letters, as well as advising on co-investments, joint ventures, and GP-led secondary transactions. She also counsels clients on legal risk and strategic considerations in a broad range of corporate transactions, including acquisitions, restructurings, and other complex commercial matters.

Pro Bono

Evelyn has supported pro bono matters through the Center for Disability and Elder Law and in refugee-related representations. She has also assisted other nonprofit organizations with regulatory compliance and governance matters.

Prior Experience

Prior to joining DLA Piper, Evelyn served as a legal intern at a global financial technology company, where she conducted M&A due diligence and reviewed corporate transaction documents.

Before law school, she was the Chief Operating Officer of a real estate investment company, where she analyzed regulatory frameworks and supported the acquisition and development of residential and commercial real estate assets. She also founded a food and beverage startup, leading strategic partnerships and investment initiatives while navigating a complex regulatory landscape.
