Darren works closely with partners and senior associates on a wide range of transactions involving the development and financing of projects in the power, renewable energy, green hydrogen, infrastructure, oil and gas sectors. He has experience advising sponsors, project companies, developers, lenders on project, energy and infrastructure transactions across Asia, including in Indonesia, Singapore, Malaysia, Bangladesh, Thailand, India, Japan, and Taiwan.

He also has experience in multi-sourced financing involving export credit agencies and multi-lateral institutions and leveraged finance transactions involving corporations, investment banks, and private equity sponsors in secured and unsecured financing, syndicated credit facilities, debt offerings, and asset-based facilities – on both the borrower- and lender-side.

EXPERIENCE

  • Advised Hartree Partners, a global energy and commodities firm, on the development and financing of its portfolio of energy storage projects in Taiwan, including an approximate USD50m acquisition financing of Battery Energy Storage Systems (BESS).
  • Advising a leading Indonesian energy developer on its bid for an importer license to import electricity from Indonesia to Singapore in response to the Electricity Market Authority’s (EMA) request for proposal to import up to 1.2GW of electricity in Singapore; including, among others, the preparation of initial and final bid proposals, drafting and negotiating project agreements, and structuring cross-border interconnectors between Indonesia and Singapore.
  • Advising PT Sumber Energi Surya Nusantara (SESNA) in relation to the development and financing of a 200MW solar project at the Indonesia Morowali Industrial Park (IMIP), including their joint venture arrangements at the holding company with a sovereign wealth fund and their shareholding arrangements at the project company level with an international sponsor.
  • Advising the lenders, including AIIB and DBS, in relation to the financing of a 3,000 tonnes per day municipal waste-to-energy project in North Dhaka, Bangladesh.
  • Advised a confidential investor in relation to its bid for a portfolio of renewable assets across Asia (Thailand, Japan, Taiwan and Cambodia) from a SET-listed seller.
  • Advising Barito Pacific, KEPCO and Indonesia Power in relation to the post-completion and post-COD matters related to the development and financing of the 2,000MW Jawa 9&10 IPP project in Indonesia.
  • Advising Total Eren SA, a global independent power producer, and Adaro Power, a leading Indonesian energy developer, on developing a 70 MW wind farm, equipped with a battery energy storage system of 10 MW in Tanah Laut, South Kalimantan, Indonesia. This is one of the few wind energy projects in Indonesia and has been procured by PLN, Indonesia’s national utility company, in line with Indonesia’s net zero emission target by 2060.
  • Advised DBS Bank Ltd., a leading Singapore-based bank, and other commercial banks, as lenders to the financing of a ground-mounted and rooftop solar photovoltaic power project portfolio of over 300 MW in Singapore developed by Terrenus Energy, a leading Singapore-based renewable energy solutions provider.
  • Advising one of the largest American multinational technology companies focusing on e-commerce, cloud computing, online advertising, digital streaming, and artificial intelligence, in connection with its negotiations of virtual power purchase agreements across several solar and wind project generators in Japan; including, among others, the structuring and drafting of various bespoke corporate power purchase agreements with each generator.
  • Advised TW Bond Limited, a leading Hong Kong-based private equity fund, in connection with the financing of its acquisition of Knight Auto Precision Engineering Pte. Ltd., a reputable Singapore-based precision engineering company, including all of the target’s overseas subsidiaries in China, Malaysia, and Philippines, in an aggregate committed amount of approximately US$40 million.
  • Advised Hinduja Global Solutions Limited (HGS) (Listed on NSE & BSE, India) as it entered into a definitive agreement to acquire a 100% stake in TekLink International, Inc., for a consideration of USD58.8m, subject to earnouts and other customary and agreed adjustments.
  • Advised a prominent international bank as lender in a USD50m mezzanine term loan facility provided to refinance the existing debt facilities of a prominent Singapore property developer, secured by registered real property mortgage on two of its hotel properties in Singapore, with simultaneous repayment and release of the existing secured debt facilities.
  • Advised Offerpad Solutions Inc., a public company in the business of tech-enabled direct home acquisitions and sales, on multiple credit facilities with prominent U.S. financial institutional lenders in an aggregate committed amount of approximately USD1bn.*
  • Advised Overbay Capital Partners on two separate senior secured NAV credit facilities involving its secondary funds as borrowers and two multinational financial institutions as lenders, in an aggregate committed amount of approximately USD80m.*
  • Advised GC Securities as underwriter’s counsel on the issuance of Class A Principal At-Risk Variable Rate Notes priced at USD250m.*
