Kimberly Gaulin advises institutional investors in the negotiation and structuring of alternative investments, including primary and co-investments in private equity, venture, buyout real estate and hedge funds, as well as managed account platforms. Kimberly frequently negotiates and advises on secondary portfolio transactions including fund restructurings. Kimberly routinely assists clients with corporate structuring, compliance and governance issues, as well as various regulatory matters.
Kimberly regularly assists clients in reviewing, drafting and negotiating investment documentation including purchase agreements, investment management agreements, side letters and transfer agreements.
Kimberly spent considerable time in-house with a large university endowment and an international asset manager.
