About

Brian Hamano represents clients in a broad range of US and cross-border transactions, including mergers and acquisitions, reorganizations, joint ventures and financing transactions.

Brian's practice also includes representing carriers and insureds on tax insurance policies for US and international tax matters and on R&W insurance policies for mergers and acquisitions transactions.  In addition to advising on the underwriting and placement of tax insurance policies, Brian regularly advises leading insurers on managing, substantiating and resolving claims under tax insurance policies.

Brian also advises founders and start-ups on the business and tax aspects of company exit strategies and the "qualified small business stock" exemption under Section 1202 of the Internal Revenue Code.

Brian has been a speaker at numerous tax conferences (including the USC Gould School of Law Tax Institute and for Tax Executives Institute) and has written for Tax Notes.
