Arndt is an experienced legal and commercial advisor with particular expertise in drafting, negotiating and advising on development, procurement, construction and operation and maintenance agreements for renewable energy projects in Australia and the Asia Pacific region.

Arndt has advised international solar and wind farm developers, principals, contractors and operators through complex legal and commercial issues throughout all project milestones and correlating contractual arrangements, including: development, community engagement, licencing and regulatory requirements, corporate structuring, connection agreements, procurement agreements and strategies, construction agreements, power purchase agreements, financing agreements, operation and maintenance agreements, asset management agreements, dispute resolution and share sale agreements.

EXPERIENCE

Recent experience includes advising:

  • Renewable Energy Developer (confidential) on contracts relating to the development of a 80MW wind farm project near Gelliondale in south-east Victoria. Including in relation to the Turbine Supply Agreement, Balance of Plant Contract and Early Contractor Involvement Contract.
  • EPIC Energy on all aspects of the development of a 40MW wind farm project near Trawalla, Victoria including in relation to the Turbine Supply Agreement, Balance of Plant Contract and Coordination Deed.
  • Greenpower SL Management on:
    • a bespoke suite of Construction and Operation Agreements (EPC, O&M and AM Agreements) for solar rooftop application across all Sri Lankan Government sites.
    • O&M and AM Agreements for operational assets.
  • RWE Renewables Australia on variations to Connection Agreements, new Connection Agreements, Restructure Deeds and a Connection Works Contract relating to the conversion of a Dedicated Connection Asset to a Designated Network Asset to facilitate the augmentation of the Limondale Solar Farm by enabling a new Battery Energy Storage System (50MW / 400MWh) to connect behind the transformer.
  • Powercor on Works and other Construction and Connection Contracts.
  • Elecnor on:
    • ECIs, EWAs, EPCs, BoPs O&Ms and Subcontractor Agreements for various solar, BESS and combined solar/BESS projects in NSW and QLD.
    • Construction Delivery Partner Panel Agreements and Construction Contracts relating to high voltage infrastructure works for various NSPs.
  • Energy Bay on:
    • various matters including full suite of template reviews for rooftop solar application (EPC, PPA, O&M and AM Agreements).
    • various advisory workstreams in relation to Early Works/Minor Works Agreements and Embedded Network Service Agreements.
    • former acting General Counsel (secondee).
  • BayWa r.e. – Australian Legal Counsel (Australia – Projects, Solar Trading and O&M businesses) advised, negotiated and drafted all project agreements, including: Early Works Agreements, Connection Agreements, development approvals, Water Supply Agreements, regulatory/licencing requirements, Procurement (Supply), Construction (including Balance of Plant and EPC), Financing, Power Purchase, O&M and Asset Management Agreements. Led advisory dispute resolution processes and implemented commercial resolutions.*
