Nick Hinton has considerable experience advising both private and plc clients on business tax affairs. He advises on the tax consequences of corporate transactions, including the acquisition and disposal of property holding companies, as well as establishing and administering employee share incentive arrangements. Recent transactions include advising Starwood on their acquisition of a portfolio of 7 Hilton hotels across the UK and a wealthy foreign investor on his purchase, through an SPV, of property in London worth several hundreds of millions of pounds.

  • Advising on the GBP1.7 billion acquisition of a UK oil refinery, including in relation to equity and employee incentive matters
  • Advising a UK LSE listed corporate on the disposal of their distribution business (including various pre-completion reorganisations)
  • Advising a non-UK investor in connection with its joint venture acquisition of student accommodation premises in the south of England
  • Advising Synergy Health plc on the impact of their USD5.2 billion combination with Steris Corp on their various tax approved and unapproved share schemes
  • Advising Dignity plc on executive incentive schemes, putting in place a new Long Term Incentive Plan and updating their "save as you earn" scheme
  • Advising Starwood on their acquisition of a portfolio of 7 Hilton hotels across the UK
  • Advising a high street bank on the disposal of their London headquarters (at a value of more than GBP100 million)
  • Acting for a well-known brewery company on their disposal of a subsidiary holding a portfolio of around 70 pubs based throughout the UK
  • Advising various listed and privately owned entities on M&A transactions with values ranging from GBP5 million to more than GBP300 million
