Russell has over 25 years’ experience advising clients on all areas of corporate law with a particular focus on equity capital markets and cross-border private and public M&A. He acts for both listed and private companies and investment banks. Russell’s experience includes initial public offerings (IPOs), including private-equity backed IPOs, secondary fundraisings (rights issues, firm placings and open offers), public takeovers, private share and business acquisitions and disposals and corporate venture capital investments. Russell has particular knowledge of the technology, life sciences and real estate sectors. In the real estate sector, he commonly advises on corporate structures (including joint venture entities) and both single-asset and portfolio acquisitions and disposals.

Russell has acted on numerous high-profile equity capital market and M&A deals, including the Main Market IPOs of FDM Group (Holdings) plc, On the Beach Group plc and LondonMetric Property plc, the sale of Interactive Investor to abrdn plc and News Corporation’s public takeover of Wireless Group plc.

In addition, Russell is regarded as a trusted adviser, regularly advising boards of listed companies on issues relating to corporate governance matters and UK securities laws and regulations.

Russell is commercially focused and dedicated to delivering excellent client service. During his career, he has been seconded to Lazard, the global financial advisory firm, which provided him with some valuable insight on the provision of client advice from a different perspective.

EXPERIENCE

  • Advising FDM Group (Holdings) plc in connection with its GBP308m IPO on the main market of the London Stock Exchange, delivering a 16x return for its private equity backer, Inflexion Private Equity.
  • Advising On the Beach Group plc on its GBP240m IPO on the main market of the London Stock Exchange.
  • Advising Boku, Inc. in connection with its IPO on the AIM market of the London Stock Exchange, the USD41m acquisition of Fortumo and the USD32m sale of Boku Identity to Twilio.
  • Advising Interactive Investor plc, a subscription-based direct investing platform, on the acquisition of the UK and Luxembourg assets of a North American headquartered bank and the investment by JC Flowers, the public takeover of Share plc and the subsequent sale of the business to abrdn plc for GBP1.5bn.
  • Advising AIM-listed Netcall plc on numerous strategic acquisitions, including Serengeti Systems, Matssoft and Automagica.
  • Advising ASX-listed IT services company Citadel Group on the GBP103m acquisition of Wellbeing Software Group Limited and subsequent restructuring of the business.
