Carlos Fuerte is Associate in the Corporate Department at DLA Piper Spain, with a focus on Mergers and Acquisitions (M&A).

With over 6 years of professional experience, he advises national and international clients on venture capital transactions, M&A deals, and corporate restructurings, including mergers and acquisitions.

He has been involved in numerous transactions in the energy sector, assisting institutional investors and private equity funds in the acquisition of renewable energy projects across Spain and Latin America as well as in data center development projects. He also contributes to the drafting and negotiation of Power Purchase Agreements (PPAs), including On-Site, Off-Site, and Virtual arrangements. Carlos also advises national and foreign clients in matters related to capital markets, including the acquisition and delisting of Spanish entities.

He collaborates in different academic activities at the Fundación para la Investigación del Derecho y la Empresa (FIDE), leading institution in the legal sector.

EXPERIENCE

  • Advised Echelon on the legal structuring and formation of a joint venture with Iberdrola to develop a strategic data center platform in Spain.
  • Secondment at Morgan Stanley's Madrid office.
  • Advised Stylitics Holdings, a company specialized in artificial intelligence for retail, on the acquisition of Wide Eyes Technologies, a Spanish leader in AI solutions for the fashion sector.
  • Drafted and negotiated a Virtual Power Purchase Agreement (vPPA) between Aptiv and Ignis.
  • Advised Prime Capital on the structuring of a joint venture with Resolar for the development of 650 MW of photovoltaic projects in Spain, including hybridisation with storage and the implementation of a methane plant.
  • Provided legal counsel to the TRUMPF Group on the acquisition of Lantek Sheet Metal Solutions.
  • Advised Top Tier Capital Partners on Typeform’s USD 135m funding round led by Sofina.
  • Supported David Lloyd in the acquisition of ASL Fitness and Alfabeto 19, operators of Reebok Sports Centre and La Finca Sports Centre.
  • Assisted Redevco and Ares in the refinancing of existing debt related to the Mercado de San Miguel asset.
  • Acted for Allianz Real Estate in the acquisition of Elix Vintage Residencial SOCIMI from KKR and Altamar.
