Jason Kelly assists banks, trust companies, fintechs, and other financial institutions with obtaining federal and state regulatory approvals and licenses, including charter approvals, securing deposit insurance, and navigating supervisory examination matters. He frequently advises on issues relating to the National Bank Act, Bank Holding Company Act, Community Reinvestment Act, state banking and money transmitter laws, and regulations issued by the Federal Deposit Insurance Corporation, Office of the Comptroller of the Currency, Board of Governors of the Federal Reserve System, Consumer Financial Protection Bureau, and state banking regulators. His practice also focuses on assisting financial institutions in developing policies, procedures, and internal controls relating to compliance with the Bank Secrecy Act, Bank Protection Act, Gramm-Leach-Bliley Act, and regulations pertaining to capital and liquidity requirements, anti-money laundering and Office of Foreign Assets Control screening and reporting, conflicts of interest, affiliate transactions, and vendor management.

Jason also represents financial institutions in federal and state enforcement matters arising under consumer financial protection and truth in lending laws, as well as in private consumer financial litigation and contractual disputes.

Jason also advises clients on matters relating to the intersection of emerging technologies and financial services, including compliance with the GENIUS Act, E-Sign Act, and Americans with Disabilities Act, and issues involving the Uniform Commercial Code.
