Tim is an Australian funds & financial services regulatory lawyer based in Sydney. He advises in the areas of financial services, funds management and general corporate law.

Tim has gained significant experience advising and acting across time zones and jurisdictions for global investment managers, Australian superannuation funds, multinational custodians, both Australian and offshore funds clients as well as financial institutions.

Tim has extensive experience advising on all phases of the fund lifecycle such as the set-up of all types of funds (including open-ended funds, closed-ended funds, registered/unregistered managed investment schemes, partnerships and infrastructure funds), drafting of offer documents, negotiation of investment management agreements, side letters and addressing local Australian financial services regulatory issues. Tim also advises superannuation groups and funds.

EXPERIENCE

  • Advising listed investment company investment manager, Whitefield Capital Management Pty Ltd on the structuring and initial public offer of shares in Whitefield Income Limited (ASX: WHI).
  • Advising funds management group Pengana Capital Group Ltd (ASX: PCG) and its subsidiaries Pengana Investment Management Limited and Pengana Credit Pty Ltd on the structuring and initial public offer of units in the Pengana Global Private Credit Trust (ASX: PCX).
  • Advising Pengana and Pengana Credit on the structuring and launch of the innovative retail TermPlus fund (ARSN 668 902 323) (TermPlus).
  • Assisted with the structuring and launch of the Pengana Private Credit Feeder Fund (which is structured as a Cayman Islands company) and the Pengana Private Credit Master Fund (which is also structured as a Cayman Islands company).
  • Advising NYSE-listed Ares Management Corporation on:
     • its AUD428 million cash acquisition of AMP Capital’s PrivateMarketsCo Infrastructure Debt Investment Management Platform.
     • the launch of Ares’s first Australian domiciled fund, namely the Ares Global Credit Income Fund. This Fund is an Australian registered managed investment scheme offering Australian and New Zealand retail and institutional investors investment exposure to one of the world’s leading alternative credit managers.
     • negotiating and settling a new strategic joint funds management venture between Ares and Fidante Partners to offer and deliver the global investment management capabilities of the Ares group to the retail and institutional Australian and New Zealand market. 
  • Advising Tidal Ventures and Adventure Group in regards to the establishment of the Tidal Ventures Early Stage Venture Capital Limited Partnership (ESVCLP).
  • Reviewing and drafting Australian disclosure documents such as Product Disclosure Statements and Financial Services Guides for a start up Australian cash management trust as well as other managed fund products.
  • Advising numerous global foreign financial services providers in their application for class order relief as foreign financial services providers from Australian financial services licensing requirements and advising on the new Australian foreign financial services provider licensing regime.
  • Advising various foreign fund managers on Australian substantial holding obligations in respect of their acquisition of shares in Australian publicly listed companies.
  • Advising numerous corporates on their legal obligations under defined benefit scheme superannuation plans.
