Bryony Lunn has more than a decade of experience advising on UK domestic and international public and private M&A transactions and corporate joint venture transactions. Her experience also includes corporate planning and implementation aspects of national and international corporate reorganisations, including pre-acquisition restructurings, post-acquisition integrations and carve outs.

Bryony also advises on equity capital market transactions on the London Stock Exchange (both AIM and main market). She has acted for corporates and banks on IPOs, follow on offerings and public takeovers subject to the UK Code on Takeovers and Mergers.

Bryony actively advises clients across a range of sectors including the Technology, Energy and Consumer Goods, Food and Retail sectors.

EXPERIENCE

  • Advising BrewDog on its GBP213m investment by TSG Consumer Partners. The transaction valued BrewDog plc at approximately GBP1bn enterprise value.
  • Advising a leading UK private equity fund and other selling shareholders on the disposal of the Pelsis Group, a global manufacturer and supplier of pest control products, to Pamplona Capital Management. The transaction was run as an auction process. DLA Piper's work on the transaction included delivering a multi-jurisdictional vendor legal due diligence report incorporating input from eight DLA Piper jurisdictions including the UK, Netherlands and the US.
  • Advising Hyve Group plc, an international organiser of exhibitions and conferences, on its fully underwritten rights issue to raise approximately GBP126m in response to the COVID19 outbreak.
  • Advising Circana (IRI), following the acquisition of NPD group, on the coordination, structuring and reorganisation of the two groups in nine jurisdictions (US, Canada, Australia, Spain, Italy, France, Germany, UK and the Netherlands).
  • Advising Numis in relation to Motorpoint's IPO and its admittance to the London main market, with a valuation of GBP200m.
  • Advising Yorkshire Water on the disposal of its advanced thermal conversion assets to Enertecgreen Limited.
  • Advising Kelda (Yorkshire Water) on the disposal of its interest in the Grampian waste-water project to Scottish Water.
  • Advising Tissue Regenix Group plc, an AIM listed pioneering international medical technologies company on its acquisition of CellRight Technologies LLC along with associated GBP40m placing.
