David Mallenbaum's practice focuses on the formation and operation of commercial real estate funds, including private real estate investment trusts and Delaware statutory trusts. David also represents fund sponsors, property managers and lenders in connection with the acquisition, financing and management of commercial real estate investments and SEC reporting and compliance.
A seasoned attorney, David has significant law firm experience in commercial real estate prior to DLA, having structured, drafted and closed a wide range of transactions, including entity formation, acquisition, financing, development, leasing and management. With a focus on their origination, participation, securitization, restructuring and defeasance, he has also represented a wide range of lenders and borrowers of mortgage loans, subordinated and mezzanine debt and preferred equity investments and has opined on borrower structures for bankruptcy remoteness and enforceability.
Apart from his law firm training, David also honed his leadership style, negotiation skills and client-focused orientation while serving as in-house general counsel and co-founder of a real estate merchant bank, as president of a privately-held national mall-based specialty retail platform and as general counsel to various private equity portfolio companies. David has been involved in pro bono matters, such as the Pennsylvania Innocence Project's recent efforts to exonerate those convicted of crimes they did not commit.
