Louis Oliverio has developed a broad commercial real estate practice since he began practicing in the late 1990s. His practice focuses on acquisitions, dispositions, real estate leasing, real estate development project counsel, and financing. He concentrates on real estate and corporate matters representing institutional clients, developers, investors and lenders in many types of transactions, including:
- Retail, including single-tenant triple-net lease transactions, outparcel ground leases and acquisitions, and shopping center leasing work
- Health Care Real Estate, with particular focus on medical office building ground leases
- Commercial, Hospitality, and Mixed-Use Developments, including complex vertical mixed-use projects with multiple owner's associations, hotel and residence projects, large-scale mixed-use destination projects, and complicated commercial/transit endeavors
- Master-Planned Community and Resort Projects
- Industrial and Office Matters
Mr. Oliverio has particular specialized knowledge and experience with respect to the acquisition and development of real estate utilizing long-term Ground Leases and with respect to CCRs and REAs for complex projects.

EXPERIENCE
Mr. Oliverio's experience includes:
- Representation of publicly traded companies, banks, REITS, a regional health care system, and a large quick service restaurant operator on the corporate real estate level in complex real estate and asset acquisition and disposition transactions, including drafting and negotiation of purchase agreements, ground leases and leases.
- Preparing, reviewing, and negotiating a variety of real estate asset management and development agreements, including : (i) Real Estate Development Agreements, (ii) Long-Term Ground Leases; (iii) Reciprocal Easement Agreements; (iv) Space Leases; (v) Condominium Declarations; (vi) Declarations of Vertical Subdivision; (vii) Building Cost-Sharing Declarations; (viii) Parking Agreements and Declarations; (ix) Outparcel Agreements and Easements; (x) Operating and Easement Agreements; (xi) Hotel Operating Agreements; (xii) Marketing License Agreements; and (xiii) Owner's Association structure and documentation.
- Representation of professional sports franchise regarding leasing and real estate development matters
- Extensive work coordinating lease abstract projects and lease and agreement diligence review for institutional clients
- Assistance on land use and zoning matters
- Representation of borrowers and lenders in real estate finance matters
- Conducting extensive, multi-faceted due diligence on all types of properties and projects, including complex repurpose projects, with the due diligence covering areas such as title, survey, environmental, zoning and land use, entitlements, utilities agreements, impact fees, and encumbrances
- Preparing and reviewing issues with club membership documents for private clubs and real estate developers
- Advising clients regarding compliance with the Interstate Land Sales Full Disclosure Act
- Advising clients regarding the development of age-restricted (55 and older) communities
- Providing sophisticated litigation support in matters relevant to the real estate development industry
- Advising clients of legal risks and development options for potential acquisitions of distressed properties
- Negotiating commercial contracts in various areas, including equipment leasing agreements, celebrity endorsement agreements, construction contracts provision of services agreements, utility agreements, and telecommunications agreements
