Philippa's practice extends across a wide range of corporate legal matters often of a multi-jurisdictional nature, including group reorganisation projects, private M&A, and joint ventures. She has a particular interest in the company law aspects of intragroup restructurings, legal entity rationalisations, share capital arrangements and constitutional matters.

Philippa has experience in a variety of sectors, such as Defence, Telecoms, Infrastructure, Technology, and Real Estate, acting for both listed and private companies, as well as institutional investors. She completed an eight-month secondment with BAE Systems, within its M&A and Strategic Alliances team.

EXPERIENCE

  • General Electric Company on the separation and spin-off of each of GE Healthcare Technologies and GE Vernova.
  • Ooredoo on the creation of a USD2.2bn independent Tower company operating across MENA (in conjunction with Zain and TASC) to which Ooredoo would contribute c.20,000 towers from across five markets.
  • Dentsu, the leading global marketing and advertising network, on its £533m acquisition of global omnichannel marketing production company, Tag Worldwide Holdings.
  • Affinius Capital on the acquisition of minority interests in three joint venture vehicles from its joint venture partner, with payment of the consideration being partly satisfied by the sale of two special purpose vehicles and involving a restructuring in order to fund the balancing cash payment.
  • EXA Infrastructure (a portfolio company of I Squared Capital) on the acquisition of Aqua Comms DAC (which owns and operates Transatlantic and intra-European subsea communications infrastructure).

Philippa was included in the 2024 Pro Bono Recognition List of England and Wales, a list that recognises solicitors and barristers who have given 25 hours or more of pro bono legal assistance.

Memberships and Affiliations

Philippa has assisted with several of DLA Piper's pro bono projects, most of which involved helping refugees. She completed a secondment to the Greek Council for Refugees.
