Peter Ross' practice encompasses all aspects of commercial real estate with an emphasis on the representation of REITs, private equity funds, pension funds and other domestic and offshore institutional investors in joint ventures for the development and acquisition of office, multi-family, industrial, retail, data center and hotel investments.

Peter's experience includes the representation of clients in acquisitions and dispositions, construction, leasing, venture formations, permanent and construction financings, mezzanine financings and structured debt placements. Peter also represents institutional investors and lenders in debt restructurings, workouts and bankruptcies in the real estate industry.

EXPERIENCE

  • Represented a Canadian institutional investor on the US$1 billion recapitalization of a 1,100,000 square foot office building, involving a crystallization of the developer promote, permanent financing of US$425 million, a sale of 49% interest to a non-United States investor using Section 892 tax treatment, and a restatement of the REIT and partnership documents governing ownership
  • Represented a Canadian institutional investor in a joint venture for the acquisition and development of a 47-story, 1,000,000 square foot office tower in Texas
    • The engagement involved the negotiation of joint venture, REIT, development and management documents with the developer, closing on a US$318 million construction loan, and negotiation of a 155,000 square foot lease with the developer
  • Represented a REIT in the development of a US$1 billion mixed-use project in the Washington D.C. area slated to consist of 1700 residential units, 250,000 square feet of retail space, and 720,000 square feet of office and hotel space
  • Represented various institutional investors in workouts and restructurings throughout the United States
  • Represented a Canadian institutional investor in the sale of five office buildings in Seattle, Washington for over US$2.5 billion structured as the sale of single assets REITs
  • Represented a REIT in a programmatic joint venture for the acquisition, financing and development of core office and industrial properties throughout the United States
  • Represented a Fortune 50 company in the development, branding and operation of master planned communities throughout the United States
  • Represented a Canadian institutional investor in a programmatic joint venture involving an initial capital commitment of US$500 million for the acquisition and development of life science projects across the United States
