Andrea Salvemini PhD
Legal DirectorAndrea Salvemini is a Legal Director in the Litigation & Regulatory department, based in the Milan office.
He is an experienced commercial litigation and arbitration lawyer, with a particular focus on contract, corporate and commercial matters.
His practice spans the full spectrum of dispute resolution, including pre-litigation assistance, the management of court proceedings, and the negotiation of settlement agreements. He has developed significant experience in matters involving contractual liability, corporate disputes – including shareholders’ disputes, directors’ liability and governance issues – and M&A-related disputes, as well as in banking and finance, energy, and other sectors such as consumer goods and succession.
Andrea regularly represents clients in high-value and complex court proceedings across a wide range of industries, as well as in domestic and international arbitration. He also advises on class actions and provides strategic support in the drafting, negotiation and review of corporate and commercial contracts across multiple industries and jurisdictions.
Andrea is a member of the Consumer Goods, Food & Retail sector.
Prior to joining DLA Piper, Andrea worked with leading Italian law firms.
EXPERIENCE
- Represented companies in litigation and arbitration against directors and auditors for breaches of their legal duties and the resulting damages. Also assisted in shareholder disputes against companies on a wide range of corporate law issues, including majority and minority abuse, abuse of “direction and coordination”, and failure to detect triggers for mandatory liquidation.
- Represented a leading Italian manufacturer in the luxury automotive sector in complex, high-value litigation before the Court of Milan arising out of the termination of an international motorsport partnership, involving significant claims and counterclaims and addressing contractual breaches, risk allocation and regulatory issues within the international motorsport framework.
- Represented an Italian metals trading group in a complex LCIA arbitration against a global natural resources company, concerning breaches of a long-term supply agreement and the failure to apply a contractual pricing and reconciliation mechanism, involving issues of contractual performance, quantification of damages and obstructive conduct in a cross-border context.
- Represented a leading Italian asset management company acting as a primary financial creditor in complex litigation before the Court of Milan arising out of the termination of a restructuring agreement, involving issues of creditor coordination, enforcement strategy and alleged abuse of rights, as well as parallel arbitration and precautionary proceedings in a cross-border context.
- Represented a US-based industrial group in complex jurisdictional proceedings before the Italian Supreme Court (Sezioni Unite) – assisting admitted counsel before the higher courts – and the Court of Genoa, in a case concerning the non-derogability of agents’ termination indemnity under Italian law and the resulting limits on the enforceability of arbitration clauses and foreign jurisdiction agreements in cross-border agency relationships.
- Represented an Italian structured finance advisory firm in a lawsuit against a financial services company before the Court of Turin, regarding the acquisition of non-performing loans (NPLs).
- Represented a major British luxury brand before the Court of Milan against a prominent real estate company, concerning the alleged breach of the lease agreement for a boutique store on Via Monte Napoleone, Milan, during COVID-19 closures.
- Represented an Italian solar company in arbitration proceedings before the Milan Chamber of Arbitration against a Chinese company, concerning the latter’s breach of a turnkey EPC agreement for a photovoltaic plant complex, which led to the client’s bankruptcy.
- Represented a leading Italian renewable energy company in an ad hoc arbitration against an Italian region, involving the breach of a biomass sales contract. Also handled the subsequent appeal of the arbitration award.
- Represented a leading Italian retail company in a lawsuit against a logistics company before the Court of Milan, regarding the performance of warehousing and distribution services at a logistics hub.
- Represented a leading Italian investment fund in precautionary proceedings before the Court of Milan against an infrastructure management company, involving the termination of an agreement under Article 67 (3) of the Italian Bankruptcy Law.
- Represented a global retail company in urgent precautionary proceedings before the Court of Verona against a real estate construction company, involving the enforcement of a first demand bank guarantee related to a real estate purchase agreement.
- Represented a Polish company in a lawsuit against an Italian IT company before the Court of Milan, concerning the Italian company’s breach of a master service agreement for the development of a digital platform.
- Represented a Taiwanese company in an ICC arbitration against a leading Italian footwear and clothing brand, involving the termination of a manufacturing agreement.
- Assisted the world’s largest commercial real estate services firm in acquiring a leading Italian company specializing in design, installation, and maintenance services for critical environments in sectors such as data centers, telecoms, corporate facilities, and military/defense.
