About

Caryn Smith routinely advises foreign and US multinationals across a range of industries, with a focus on corporate, international tax and commercial matters. She serves as a strategic legal advisor to C-suites and boards of directors, helping them navigate matters involving risk mitigation, operating model strategy, corporate governance, global expansion, post-acquisition integrations and dispositions, among many other strategic matters. She works closely with senior management to minimize legal risks and support the company's long-term goals.

With 20 years of experience, Caryn has assisted a wide range of clients, from startups to multibillion-dollar multinationals, to reach strategic targets and align their legal structure with broader business objectives. Such projects include launching new products and services in strategic markets, acquisitions, cross-border financing arrangements, integrations, rationalizations, divestitures, aligning legal structures to litigation strategies, spinoffs and global carveouts.

Caryn frequently serves as lead counsel managing global legal counsel for multijurisdictional and multi-disciplinary projects involving regulatory, employment, intellectual property, corporate implementation, corporate governance, taxes and commercial contracts, among others. She has advised on large-scale transactions including single transactions involving 200+ jurisdictions, and she has served as the chair of numerous projects some involving multiple advisor teams, where efficiency and teamwork is particularly critical to the overall success of the project.
