EXPERIENCE

  • Assisting a major Belgian public company with its Strategic Sourcing Project. We provided an "end-to-end" service to the client, covering all legal aspects of the strategic IT sourcing project. Our assistance covered not only drafting and negotiating the contracts, but also providing legal advice regarding the deal structure and most appropriate public procurement process, and evaluation and scoring of all suppliers' comments on the legal documents. We also reviewed all commercial and technical schedules from a legal perspective, and negotiated the agreement with up to 7 different suppliers simultaneously.
  • Assisting a Belgian bank with the negotiations of a long-term IT serve-back agreement with a global IT player. This project ensued from the strategic restructuring of the approach to IT sourcing within the bank's group, shifting the focus from internal sourcing to external sourcing. The IT services agreement was part of a broader deal, which also comprised the sale of the bank's Indian IT subsidiary. As such, this project implied an additional level of complexity, requiring us to carefully balance the bank's commercial interests in selling its subsidiary with the need for the bank to receive high quality, cost effective IT services in a regulated environment.
  • Assisting a department store with the set-up and roll-out of its web shop. Our assistance covered the drafting and negotiation of the contracts with all external service providers involved in the project, including IT services and software providers, logistics providers and transport providers. As the company works as one of the only department stores on a consignment basis with its suppliers, all contracts needed to take into account this particular relationship between the company and its suppliers.
