Admitted to the Roll of Solicitors in England and Wales in 2002, Brenda Hill has a range of commercial legal experience in Asia, the UK and the Middle East including contentious and non-contentious corporate and commercial matters.

Brenda has been practicing in Qatar for 15 years and advises foreign entities looking to do business in Qatar and advises on joint ventures, M & A, corporate and commercial advisory, and regulatory matters in Qatar.

EXPERIENCE

  • Vodafone Group - acted in relation to Vodafone Europe B.V's disposal of their 51% stake in Vodafone and Qatar Foundation LLC (VFG) to Qatar Foundation for Euro 301 million. Principally involved advising Vodafone Group on all aspects of the transaction including the regulatory issues concerning listed companies in Qatar and those that would affect the transaction, regulatory approvals required including the clearance from the Qatar Communications Regulatory Authority, drafted, advised on and negotiated the long from sale and purchase agreement and advised on the Qatar law aspects of the transaction up to registration of the share transfer and closing.
  • Qatar Central Bank - advising in relation to the establishment of Qatar's Central Securities Depository. Principally involved in advising on the current legal and regulatory framework. Conducting legal framework analysis in Qatar. Advising on the specification of the Central Security Depository entity, drafting incorporation and operational documentation and assisting with the incorporation and establishment of the Central Securities Depository entity. Dealing with the business transfer of the existing Central Securities Registry of the Qatar Exchange to the established Central Security Depository and the transfer of the assets (including the employees) and 25% of the Shares in the Central Securities Depository to the Qatar Exchange.
  • Bureau Veritas - assisted legal team in advising multi-national French based purchaser in relation to the Qatari law aspects of a US$ 110 million acquisition of a group of non-destruction testing oil and gas services companies in seven jurisdictions including the GCC, Singapore and India; principally involved in advising on the Qatari targets interests.
  • GCC purveyors of luxury foodstuffs, dates an chocolates – advising on the most suitable method of terminating the Qatar law lease agreements entered into with landlords in major shopping malls in Qatar and advising on the dissolution of its Qatar operation.
  • Qatar quasi-government entity – involved in advising on the corporate structuring and transfer of real estate assets and usufruct rights.
  • P & O Maritime - assisted legal team in advising the port operator on US$ 825 million proposed acquisition of a Middle East ship builder; principally involved in advising on the targets Qatari interests.
  • Qatar First Investment Bank LLC (QFIB) – involved in advising QFIB in its capacity as a member of a consortium acquiring 100% of the shares in Qatar Engineering & Construction Company LLC (QCon) for a total purchase price of US$110 million. As a consortium member, QFIB acquired approximately 40% of QCon’s shares.
  • Petroserv Limited - advising in relation to its joint venture with South Africa based Quanto Bello Interior Limited and Spanish based Aire Limpio to bring their strategic partnership to Qatar;
  • Akzonobel BV - advising in relation to its joint venture with Qatari entity Al Mehwar Company to provide their paint coating business to the Qatari market;
  • Culligan FSHCO - advising in relation to its joint venture with Qatari entity Intergroup LLC to provide desalination, water treatment and bottling services in Qatar;
