Lavinia Fifoiu is mainly involved in real estate transactions which include due diligence investigations for the acquisition or sale of real estates, construction projects, preparing and negotiating various agreements such as sale agreements, lease agreements, construction agreements etc.

Lavinia has also been involved in several national and international arbitration/adjudication procedures concerning design and build of national roads and highways based on FIDIC contracts, providing legal assistance and representation. Lavinia also gained experience in litigation projects, providing legal assistance and representation, covering a numerous fields, such civil, administrative contentious, forced execution and insolvency matters.

EXPERIENCE

  • Assisting an international privately held real estate investment and asset management firm with a due diligence process in respect of the acquisition of a participation in the share capital of a Romanian company in consideration of a land located in North Bucharest and a neighbouring plot of land owned by it.
  • Assisting an Austrian bank in a EUR 16.6 million multi-tranche term loan facility to the owner of a fashion outlet centre located in West Park Retail Militari Shopping Centre on the bounds of the capital of Romania.
  • Assisted a cash and carry wholesaler in a project of sale and lease back of its stores in Romania and Slovakia in order to increase its competitiveness and efficiency and to improve liquidity for new investments and developments. We have prepared the vendor’s due diligence, all the transaction documentation, including the SPA, negotiations, coupled with tax advice.
  • Assisting the local branch of an Indian multinational conglomerate with rental matters for several spaces in Romania. We are assisting the client with respect to the negotiation, conclusion and day-to-day matters related to lease agreements for several spaces in Romania where the client operates. Our team has been involved in ensuring that the client’s various operations and specific requirements are covered, aligned and their interests protected, while negotiating with various skilled and experience landlords.
  • Assisting a real estate company with the reorganisation of their real estate business and with the ongoing transactions regarding disposal of assets; our advice consisted in providing strategic advice, tax and performing a vendor legal DD.
  • Assisting an established real estate company with the acquisition process of a plot of land near Bucharest. We have assisted the client, one of the largest residential developers in Romania, with the acquisition process of approx. 17 ha of land near Bucharest. Our assistance consisted of performing a legal due diligence of the land and negotiating the transaction documents.
  • Advised one of the major players developing, financing, constructing and managing large-scale projects in the renewable energy sector, to acquire a 400 MW wind farm project from an investment fund. Our assistance covered the legal due diligence on corporate, land and project rights, regulatory and environment aspects as well as the drafting of all the transactions documents, assistance with the negotiations, signing and closing.
  • Assisting and representing National Company for Road Infrastructure Administration in connection with disputes based on FIDIC contracts for the design and build of major highways in Romania, as a respondent, before dispute adjudication boards and arbitral tribunals against financial claims exceeding EUR 50,000,000.*
  • Assisting one of the most important real estate developers in Romania in relation to the sale of an office project located in Bucharest consisting of 3 (three) buildings, in 3 (three) different phases, having an aggregate area of 80,000 sq. M, a transaction with a value of 200 million EUR.*
