With a career spanning over fifteen years, Florin Tineghe has extensive experience in all relevant aspects of real estate driven transactions, assisting reputed real estate investors and being directly involved and coordinating highly important projects both in Romania and cross border.

Florin’s main practice areas include assistance in real estate transactions, such as sophisticated acquisitions and sensitive disposals, during all relevant phases (due diligence, drafting and negotiation of transaction documents, implementation of transfer and assistance in the related financing process, including the release/creation of security), acquisition and structuring of real estate portfolios, planning, permitting and construction during all stages of a development including the relation with the public authorities and contractors, as well as litigation, PPPs, public procurements and Government contracts, real estate financing and projects.

EXPERIENCE

  • Assisting a leading owner, operator and developer of shopping centres in CEE with respect to the acquisition of the bank loan and related security over the property and the settlement of the seller's debt assumed as part of the acquisition documents for completing the acquisition of the land located in North Bucharest and settling of all third party debt. We also assisted the client with the due diligence process and the transaction documents for purchasing a neighbouring plot of land to be added to the owned land and with other day-to-day tasks related to the future development on the land, including planning and permitting aspects.
  • Assisting a hospitality Romanian company with drafting and negotiating a lease agreement with respect to a hotel located in Sibiu, Romania.
  • Assisting a property service company with the legal due diligence exercise with respect to the purchase of an office building located in Bucharest and with structuring the acquisition and the related negotiations, drafting and execution of the transaction documents. Our assistance covered also the bank refinancing of the equity paid purchase price. We are also assisting the client with legal day-to-day matters regarding the two office buildings owned by it in Bucharest.
  • Assisting a language translation and content management solutions company with the negotiation process and execution of the lease agreement for the relocation of their activity in a newly developed office building located in Cluj-Napoca, Romania within a premises of approx. 3,600 sqm.
  • Assisting an Irish global pharmaceutical leader with the negotiation and execution of a lease agreement for renting an office space, to be used as the client's headquarters in Romania, in a newly developed office building in Bucharest.
  • Assisting a US fund in relation to the sale of its Romanian portfolio of logistic parks, part of the sale of its pan-European logistic platform to Chinese investment Corporation. Our assistance involved, amongst others, drafting due diligence reports with regard to the lease agreements concluded in respect of the logistic parks, assistance in relation to the drafting of the transaction documents and to the implementation of the transaction (including with regards to the release of the existing security).
  • Performing a vendor legal due diligence for a global beverage producer with respect to the sale of a former factory located in north-west of Romania. We have also assisted the client with respect to the negotiations and signing of the sale-purchase agreement for the disposal of the real estate property.
  • Assisting a German global banking and financial services company, in relation to a potential acquisition of two loans in excess of EUR270m secured with two of the most recognized shopping centres and an office building located in Bucharest (all buildings having an aggregate value of approx. EUR267,4m and 120,000 sq. m GLA). Our involvement included advice on the structure of the prospective deal under Romanian law, due diligence on the security package and the properties and also analysing potential scenarios in case of enforcement.
  • Assisting an Austrian insurance group, in its capacity of landlord, in its day-to-day relationship with its tenants, including negotiations with tenants and enforcement proceedings.
  • Assisting real estate agency with the development and financing of a shopping mall extension located in the West side of Bucharest including real estate financing matters and tasks related to the construction and lease process.
