Richard McGlasham advises on domestic and international M&A and private equity transactions and regularly acts for financial sponsors on buyouts, co-investments, restructurings and exits, as well as corporates and portfolio companies on acquisitions, disposals and related corporate matters.

He acts across a range of sectors with a particular focus on consumer goods and retail transactions.

Richard recently spent time in the DLA Piper Bucharest office as part of the firm’s secondment programme and is a member of the firm’s UK consumer goods, food and retail sector group.

  • August Equity on:
    • the primary buy-outs of VetPartners, British Assessment Bureau and Hallmarq Veterinary Imaging;
    • the sale of Amtivo Group to Charterhouse Capital Partners;
    • the sale of Pet Cremation Services to VetPartners; and
    • numerous domestic and international bolt-on acquisitions.
  • Sun European Partners on:
    • the buy-out of WesCom Signal and Rescue from The Jordan Company;
    • the buy-out of Fletchers Solicitors;
    • the buy-out of MegaGroup; and
    • numerous domestic and international portfolio company transactions and reorganisations.
  • LDC on:
    • the buy-outs of Kerv Group, REAL Digital and Acora;
    • its minority investment in Sedex; and
    • numerous portfolio company transactions.
  • Highlander Partners on the sale of Fuerst Day Lawson to Archer-Daniels-Midland.
  • Charterhouse Capital Partners backed Amtivo Group on its international buy-and-build programme including the acquisitions of Certification Europe, InfoSaas, ACM, QAICL, Dovre Sertifisering, Ascentor, Secure Business Computing Solutions, Orion Registrar, Advantage International Registrar, First4Safety, EQA, UK Food Certification, American System Registrar and Advanced Certification.
  • Livingbridge on the buy-out of Jungle Creations.
  • Fremman Capital on the buy-out of Kids Planet Nurseries.
  • HIG Realty Partners on equity arrangements related to the acquisition of Hotel Ullensvang (Norway) and La Plaza (Switzerland), as well as various portfolio recapitalization transactions.
  • The management teams of: 
    • Inspired Pet Nutrition (owner of the Wagg and Harringtons pet food brands) on the secondary buy-out by CapVest;
    • Sharps Bedrooms on the secondary buy-out by Epiris;
    • Paladone Products on the secondary buy-out by IVEST Consumer Partners; and
    • GCX on the buy-out by 3i Infrastructure PLC.
CONSUMER GOODS, FOOD AND RETAIL
  • Marks and Spencer PLC in relation to its investment in The Sports Edit.
  • BrewDog PLC in relation to an investment by TSG Consumer Partners and on numerous subsequent transactions and corporate matters.
  • Strategic Value Partners on the restructuring of the Aromair Group (formerly Jeyes Group) and the disposal of its UK cleaning brands business to Henkel and its manufacturing business to Easy Cleaning Solutions.
  • Nisa Retail in relation to its takeover by the Co-op for GBP143 million by way of scheme of arrangement involving over 1,100 shareholders.
