John Stone has over 15 years of experience advising issuers and managers on a wide range of equity and debt capital markets transactions in both the SEC-registered and Rule 144A/Reg S context, as well as cross-border M&A, SEC compliance, corporate governance and related matters.

His work includes transactions for companies in various sectors, including natural resources, financial services, pharmaceuticals, construction, software and other industries.

John has advised some of the world’s largest companies on major transactions in Europe, North America, Africa and Asia. These include transformational M&A, IPOs and secondary offerings including rights offers and accelerated bookbuilds, as well as debt offerings. He has also advised SEC-registered and US-listed foreign private issuers in connection with their on-going reporting obligations and corporate governance matters.

EXPERIENCE

  • Advising Montana Aerospace AG on its CHF440 million IPO on the SIX Swiss Exchange and follow-on capital raisings, including to qualified institutional buyers in accordance with Rule 144A.
  • Advising Hyve Group PLC on a GBP127 million rights issue and placing of new ordinary shares made to investors, including to qualified institutional buyers in accordance with Rule 144A, the first rights issue made in the UK since, and related to, the outbreak of the novel coronavirus.
  • Advising the underwriters in a USD3 billion bond offering by Volkswagen of America, as well as a CAD1.5 million bond offering.*
  • Advising Sibanye Gold Limited (trading as Sibanye-Stillwater) in a USD1.05 billion SEC-registered rights offer to fund the acquisition of Stillwater Mining Company and a ZAR1.7 billion cash placing .*
  • PPC Limited, a South African construction materials company, in a USD280 million rights offer. Completed September 2016.*
  • Advising Ophir Energy in its USD400 million IPO on the LSE, a GBP150 million equity placing and a GBP120 million acquisition of an exploration stage exploration company.*
  • Advising City Development Limited in its GBP2.23 billion cash takeover offer of Millennium & Copthorne Hotels plc.*
  • Advising Charter Court Financial Services Group in its takeover offer for OneSavings Bank plc, creating a combined GBP1.78 billion entity.*
  • Advising The parent of a target software company in a complex GBP3 billion reverse takeover offer.*
  • Advising Dixons Retail plc on its GBP3..8 billion merger with Carphone Warehouse Group plc by way of a scheme of arrangement.*
  • Advising Moy Park (Bondco) plc in its GBP200 million debut global high yield bond, as well as a GBP100 million tap of the bond.*

In addition, John has advised a number of clients on governance and compliance issues, including conducting internal compliance reviews, advising on the structuring of internal legal functions and advising on board practices.
