DLA Piper advises ICF in its US$255 million acquisition of Incentive Technology Group

DLA Piper is pleased to announce that the firm represented ICF (NASDAQ:ICFI), a global consulting and technology services provider with more than 7,000 employees in 70 countries, in its US$255 million acquisition of Incentive Technology Group, LLC (ITG).

ITG is a leading provider of cloud-based platform services to the US federal government.

  • Representing the DeWinter Group, a leading provider of temporary and permanent staffing solutions in the areas of accounting, finance and information technology, in its recent investment from Boston-based private equity firm New Heritage Capital. The team included Houle, Brown, Pilkerton, Kovacs and Huddle.
  • Representing Blackstone Technology Group in the sale of its federal division, Blackstone Federal, for US$85 million to ASGN Incorporated. Blackstone Federal delivers agile application development, cloud modernization and systems architecture, cybersecurity, user experience design and branding services to the US Intelligence Community, including the Department of Homeland Security and its sub-agencies. The team included Houle, of counsel Jay Tannon, Brown, Pilkerton, Kovacs, and partner Brad Jorgensen.
  • Representing Operational Intelligence in its sale to E3/Sentinel. Operational Intelligence, a leading woman-owned government contractor, provides mission-focused analytical, technical, operational and training services to the US Intelligence Community and the Department of Defense. The team included Houle, Brown, Pilkerton, Kovacs, Huddle, Jorgensen and attorney Cara Hupprich.
  • Representing Arlington Capital Partners, a Washington, DC-based private equity firm, in a complex, cross-border divisional acquisition of UK-based Doncasters Group’s Blaenavon forging business, a leading manufacturer of precision metal components for the aerospace and defense industry. The team included Houle, Brown, Pilkerton, Kovacs, Huddle and UK partner Stephen Atkinson.
  • Representing The Halifax Group in a complex cross-border acquisition of AAMP Global, a leading after-market automotive accessory manufacturer, supplier and distributor throughout North America and Europe. The team included Houle, Pilkerton, Kovacs, Huddle, and partners Leeann Kelly-Judd and Paolo Morante.
  • Representing Aldrich Capital Partners, a leading healthcare technology private equity fund, in its US$41 million investment in New York-based eHealth Technologies, a leading provider of medical record retrieval and organization services and image-enabled healthcare information exchanges. The team included Houle, Pilkerton, Kovacs and Jorgensen.
  • Representing Sequoia Holdings, Inc., a leading provider of software and cloud computing services to the US Intelligence Community, in its investment by Chart Capital, a New York-based private equity firm. The team included Houle, Pilkerton, Kovacs and Jorgensen.
