Joseph Baldwin represents real estate fund sponsors and other real estate owners and operators in a variety of corporate transactions, including the formation and structuring of private equity real estate funds, management entities, and joint ventures.

Joseph also concentrates his practice in the areas of securities regulation, corporate, and partnership law, with an emphasis in real estate capital markets.

His transactional experience include the formation of domestic and international open- and closed-end real estate private equity funds, structuring of real estate related joint venture acquisitions, private REIT offerings and transactions, and other corporate and capital market transactions.  Joseph also represents clients in negotiations with existing and prospective investors, joint venture partners, and service providers.

Joseph has experience in securities issues relating to private equity fund formation and other private placements and syndicated offerings, as well as the application of registration exemptions under the Investment Company Act of 1940 and the regulation of real estate and other investment managers under the Investment Advisers Act of 1940.  His practice has a significant cross-border element, with U.S. clients focused on fund formations and related offerings to prospective non-U.S. investors.

In his pro bono practice, Joseph advises not-for-profit organizations on corporate governance matters as well as not-for-profit organization mergers and acquisitions.
