Matt Davies has extensive experience advising in the areas of international tax and real estate tax, as well as in the insurance sector and on M&A transactions.

Matt advises a wide variety of US and non-US multinationals in connection with global restructurings and international tax matters, particularly in relation to supply chain structuring, IP migration and the establishment of UK holding company structures.

He also has extensive experience advising on warranty and indemnity insurance and tax risk insurance policies, both for underwriters and insureds.

EXPERIENCE

  • Advised a US insurance group on a European reorganisation involving the transfer of its surety business from a Luxembourg-headquartered branch structure to a Netherlands-headquartered branch structure.

  •  Advised a European media group on relocating its holding company structure to the UK.

  • Advised a US-headquartered financial services group on a legal entity rationalisation project.

  • Advised a FTSE 100 media company on an intra-group reorganisation that involved, amongst other things, advice on the tax treatment of intra-group debt waivers, including one debt with a value of US$3.5 billion.

  • Advised a US-headquartered aviation company on the tax implications of a significant reorganisation of its business covering multiple jurisdictions.

  • Advised a US insurance group on changes to its European operating model necessitated as a result of Brexit.

  • Advised a Middle East-based logistics group on its expansion into the UK market, and on setting up a structure for future international expansion beyond the UK.

  • Regularly act for a number of underwriters on the tax aspects of warranty and indemnity insurance transactions across multiple jurisdictions, including sell-side and buy-side policies, US style enhancements and stapled policies on auction sales.

  • Regularly advise a number of leading tax underwriters on the underlying risk being covered by, and the terms of, specific tax risk policies in jurisdictions across Europe, Asia and the US.

  • Advised Marco Capital on the acquisition of Capita Commercial Insurance Services Limited and Capita Managing Agency Limited from Capita plc.

  • Advised a Lloyd's managing agency on the sale of a European MGA.

  • Advised the management team of the Miller Homes group, one of the UK's leading housebuilders, in connection with the sale of the group to funds managed by Apollo.

  • Advised Prologis on its GBP473 million sale of a portfolio of UK logistics assets to Blackstone, the largest sale of logistics real estate assets on record in the UK.

  • Advised a US private equity fund on both its USD500 million acquisition and later disposal of a Jersey Property Unit Trust which owns a large commercial property in London.
