Fonda Duvanel focuses her practice in the areas of real estate finance, development, joint venture arrangements, acquisitions, sales and leasing.

Fonda represents lenders and borrowers in debt and equity financings, property owners and investors in negotiating joint venture agreements, buyers and sellers in the purchase and sale of real estate, developers in the development and construction of office, residential and mixed-use projects, and landlords and tenants in the negotiation of ground, office and retail leases. She has also represented lenders in connection with the sale of mortgage and mezzanine loans and participation interests, and loan servicers in connection with the servicing, modification, sale and workout of mortgage and mezzanine loans.

EXPERIENCE

  • Represents a Canadian pension fund in connection with the ownership, financing, development, construction, sale, management and leasing of the largest mixed use development in New York City, which includes four office buildings, a residential condominium building with an affordable housing unit, a condominium building with residential units and a full service hotel, and a retail complex
  • Represents a major art museum and its affiliates in connection with the ownership, sale, development, construction and leasing of its museum facility and other properties in New York City
  • Represented the developer in connection with the ground leasing, development and construction of the new national headquarters building of a leading media and Internet company
  • Represented the developer in connection with the financing, development and construction of a 655 unit luxury condominium building, with ground floor retail space, in San Francisco, California
  • Represented a REIT in connection with the acquisition of a 1.1 million square foot office complex in Uniondale, New York, and the qualification of such acquisition as a tax-deferred exchange, the acquisition of 14 office buildings in White Plains and Harrison, New York, and the sale of an office building located in Orlando, Florida
  • Represented the purchaser in the acquisition of 65 hotel properties in bankruptcy, the modification and restructuring of the mortgage financing and the negotiation of management agreements with three international hotel chains
  • Represented the purchaser in the acquisition of a 2.2 million square foot office building in midtown Manhattan
  • Represented the owner of a hotel property in Orlando, Florida, in connection with the mortgage financing and long-term lease and subsequent sale of the property to an international hotel chain
  • Represented a life insurance company, as the owner of a 92% partnership interest in a 1.3 million square foot office building in San Francisco, California, in the negotiation of its partnership agreement with the building developer and co-owner and subsequent sale of such partnership interest, and the sale of its interest in a second office building located in San Francisco
  • Represented a private philanthropic foundation in the sale of its ownership interests in seven residential apartment buildings in New York City
  • Represented an investor in the negotiation of a joint venture agreement for the ownership of Class A office building in midtown Manhattan
  • Represented the property owner in connection with the US $1.2 billion mortgage and mezzanine loan financing of seven luxury hotels located in Hawaii, Florida and California, the modification of the ground leases for the five hotel located in Hawaii, and the modification of the management agreement for each hotel
  • Represented the property owner in connection with a US $295 million mortgage financing secured by 58 warehouse properties located in 36 states
  • Represented the lender in connection with a US $270 million mortgage financing for the acquisition of 17 properties in California
  • Represented the landlord the negotiation of office and retail leases in two Class A office buildings in Manhattan
  • Represented the landlord in the negotiation of leases in a 2.9 million square foot building in Manhattan to office, retail and telecommunications tenants
