John Heuberger's emphasis is in securities, partnership and corporate law.

John joined the firm in 1976 and has been a partner since 1981. He has experience in structuring the capitalization, financing and terms of acquisition for real estate, research and development, commercial projects and corporate alliances. 

In the corporate area, John is primarily responsible for corporate organizations, private placements of debt and equity securities, public offerings, venture capital financings, and mergers and acquisitions transactions. He counsels corporate boards, board committees and senior management on corporate governance matters, including compliance with the Sarbanes-Oxley Act of 2002, Securities and Exchange Commission rules and state corporation laws.

In the senior housing area John represents developers, owners and operators in structuring strategic alliances and complex debt and equity financing programs for independent living, congregate, assisted living and semi-acute care projects, and for continuum care retirement communities. He has formed numerous simple and complex partnerships, joint ventures and limited liability companies, and has also participated in partnership merger, reorganization and redemption transactions. John represents local financial institutions in asset-based loan and loan workout transactions, and insurance companies in designing investment programs for insurance company separate accounts. He also represents clients in broker-dealer, investment advisor and periodic reporting matters.

Civic and Charitable

In 1993, John was elected as a member of the board of trustees of the Village of Deerfield, Illinois, the governing body of that municipality, and he served in that capacity until April 2001. He has taken an active role in numerous major village projects, including downtown redevelopment.
