Arielle Katzman maintains a diverse corporate practice, with a focus on capital markets and corporate governance. Industry exposure includes consumer products, digital healthcare, technology, SaaS companies, medical devices, educational services, energy, transportation, satellite, media, pharmaceuticals, specialty finance vehicles, insurance and waste management.

Arielle advises clients globally across their corporate life cycles on governance, compliance and disclosure matters regarding ongoing operations, implementation of best practices, strategic initiatives, and risk/crisis management. She interfaces with senior management / boards of directors and finance / accounting / IR teams and liaises with regulators and other third parties. Arielle partners with corporate clients to navigate venture financing, expansion and operating initiatives, implementation of governance structures, IPO execution and post-IPO public company advice.

Arielle also serves as counsel to issuers, underwriters, selling stockholders and investors, in public and private securities transactions. Experience includes SPACs, PIPEs, IPOs, debt offerings, equity and debt tender offers, venture financing, consent solicitations, exchange offers, spin-offs, M&A, restructurings, private placements, block trades, redemptions, MJDS registration, follow-on offerings, secondary offerings, commercial paper programs, leveraged finance and at-the-market offering programs. These cross-border and domestic transactions involve a range of instruments: debt (secured and unsecured, high yield, investment grade, retail notes, sovereign securities/GDNs and Eurobonds), equity (common stock, preferred stock and ADRs), convertible securities (preferred stock, notes, and warrants) and subscription rights.

To deepen her passion for the practice, Arielle frequently engages in thought leadership activities such as article production, public speaking and conference organization.

Additionally, Arielle assists pro bono clients with incorporation/restructuring/dissolution, tax exemption and governance practices.
