Alessandro Nicolardi is a Lawyer in the Debt Capital Markets & Structured Finance team and he focuses on debt issuance transactions involving bonds and complex financial instruments (such as certificates and covered warrants) on domestic and international markets.

In particular, Alessandro has experience in advising banks, financial intermediaries and corporate entities both in the field of debt issuance programmes (such as Euro Medium Term Note Programme and Warrants and Certificates Programme) and on a stand-alone basis of a wide range of debt financial instruments (including the so-called mini-bonds and green bond) and in the related procedure with the relevant public bodies and market authorities – in case of admission to trading of the securities – in Italy and in the main European jurisdictions.

He also assists clients in relation to regulatory aspects related to finance, corporate finance and structured finance connected with energy efficiency projects.

EXPERIENCE

  • Secondee in Intesa Sanpaolo S.p.A., Legal Advisory of the IMI Corporate & Investment Banking Division (formerly Banca IMI), in 2020/2021 assisting the client in the debt capital markets field, with particular focus on the offer and/or issuance and admission to trading of bonds, structured notes and securitized derivatives in the context of public offers and private placement.
  • Secondee in UniCredit S.p.A., Group Corporate & Investment Banking Legal, in 2022 assisting the client in the debt capital markets field, with particular focus on Eurobond issues under EMTN Programmes and on a standalone basis (including the so-called mini-bonds, green and social bonds) either as issuer or arranger/dealer.
  • ASR Media and Sponsorship S.p.A., a subsidiary of AS Roma S.p.A., in relation to the issue of a Senior Secured non-convertible bond - for an aggregate nominal amount of € 275 million - admitted to trading on the Vienna MTF and the Euro MTF of the Luxembourg Stock Exchange.
  • Saxa Gres S.p.A. in relation to the issue of a secured bond with a nominal value of up to €150 million and its admission to trading on the Vienna MTF.
  • NewCo belonging to the Meyer Bergman group in relation to the issue of floating rate secured notes for an aggregate nominal amount of up to € 117.74 million and admitted to trading on the Vienna MTF.
  • Swiss-based infrastructure fund manager, as investor, in relation to securitization transactions concerning receivables arising from energy efficiency projects in Italy for an aggregate amount of up to € 300 million.
  • First ranking Italian banks in the establishment and management of issuance programmes concerning bonds, structured notes and certificates and in the relevant offer and/or issue and/or admission to trading in the main European markets (including the distribution to retail and professional investors).
