About

Miroslav Dubovský has almost 30 years' experience of assisting clients with M&A and corporate law, joint ventures, private equity, financial and real estate transactions, and financial and corporate reorganisations. He works on complex domestic and cross-border deals, and on international arbitrations.

Miroslav has significant experience of providing legal services to clients across a range of sectors, particularly industrials, real estate, banking and finance, technology, pharmaceuticals, insurance, logistics and transportation.

In addition to his transactional work, Miroslav regularly represents clients in international arbitrations and has acted on high-profile commercial arbitrations concerning the privatisation of leading Czech state enterprises as well as in disputes relating to the protection of investments under bilateral investment treaties. He also regularly sits as an arbitrator in arbitration proceedings.

EXPERIENCE

Miroslav's experience includes:

  • Advising Zip Co Limited, an Australian financial technology company, on its acquisition of Twisto Payments, a Czech FinTech leader in buy now pay later (BNPL) platforms; in addition to the acquisition, the transaction included all regulatory aspects and notifications to the Czech National Bank
  • Advising Berry Global, a global market-leading manufacturer of innovative plastic packaging and engineered products, on the sale of Promens Zlín to leading CEE private equity fund ARX and the Promens Zlín management
  • Advising Kiwi.com, a leading Czech online travel booking platform powered by cutting-edge technology, in connection with the sale of shares to General Atlantic, a leading global growth equity firm providing capital and strategic support for growth companies
  • Advising Globus, a German retail chain of hypermarkets, on a facilities agreement provided by a club of Commerzbank, Landesbank BadenWuerttemberg, Landesbank Saar and UniCredit Bank for the purposes of the refinancing of outstanding loan facilities, the finance of various operational costs, and the provision of a revolving loan and other products in the ancillary facility provided under the facilities agreement
  • Advising LINET Group, a major European manufacturer of hospital and nursing beds, on a syndicated revolving facility agreement, including assistance with the guarantee to be provided by the Czech group entities and corporate authorisation for the new facilities agreement
  • Advising PHOTON ENERGY, a global solar energy solutions and services company, in connection with the admission to trading of all of its shares on the regulated parallel markets of the Warsaw and Prague Stock Exchanges
  • Advising Karlin Group, a Prague-based developer, on the sale of 50% of the shares in two residential projects to a developer and investor PPF Real Estate for potential residential development worth CZK4 billion
  • Advising UBM Development Group, a leading Austrian developer, on the development and reconstruction of a property located in the heart of Prague, Czech Republic, into a five-star hotel operated by a renowned international hotel chain, and on EUR78 million financing provided by Raiffeisen Group
  • Representing PKN Orlen, a Polish oil refiner and petrol retailer, in several high-profile arbitrations initiated by Agrofert Holding over an arbitration award worth approx. CZK20 billion relating to the privatisation of a refinery and petrochemical company
  • Representing clients in institutional international arbitrations, mainly under ICC and UNCITRAL rules
