Miroslav Dubovský is a leading Czech lawyer with more than 30 years of experience in corporate transactions and international arbitration. He advises clients on mergers and acquisitions, joint ventures, private equity investments, financial and real estate transactions, and corporate restructurings, while also representing and advising clients in complex international commercial and investment disputes.

His transactional practice encompasses a wide range of domestic and cross-border projects, particularly in the industrials, real estate, banking and finance, technology, pharmaceuticals, insurance, logistics, and transportation sectors with strong focus on private equity and venture capital.

Alongside his transactional work, Miroslav has built a distinguished international arbitration practice. He regularly acts as counsel in commercial and investment treaty arbitrations, including landmark disputes arising from the privatization of major Czech state-owned enterprises and claims relating to the protection of foreign investments. He also serves as an arbitrator in domestic and international proceedings and leads several arbitration associations.

  • Advising FL Technics from Avia Solutions Group, one of the largest providers ACMI (Aircraft, Crew, Maintenance and Insurance), on the acquisition of 100 % of the shares of JOB AIR Technic a.s., a Czech aircraft maintenance, repair and overhaul company based in Ostrava-Mošnov airport, from Czechoslovak Group.
  • Advising Acquinex, specialist Warranty and Indemnity (W&I) insurance, in connection with the provision of buyer-side W&I cover in respect of the acquisition of a Czech brewery holding Pivovary CZ Group a.s. by Kofola.
  • Advising CBC Global Ammunition, a Brazilian ammunition manufacturer, on the sale of its Czech-based subsidiary Sellier & Bellot to Colt CZ Group. The purchase price comprises a combination of cash and a significant minority stake in Colt CZ. Sellier & Bellot a.s. is a Czech-based ammunition manufacturer and is one of the oldest engineering companies in the Czech Republic and the world. The company employs around 1,600 people and operates its main production facility in Vlašim, Czech Republic.
  • Advising CallMiner Inc., a US based software company, in connection with acquisition of 100% shares in Czech startup company that developing voicebot - Vocalls Inc. s.r.o.
  • Advising a Belgian web hosting company, in acquiring a 100% stake in company focused on providing ready-made e-shop solutions, operating in the Czech Republic, Slovakia, and Hungary.
  • Advising Promedica Praha Group, a.s., a Czech medical supplier of medical devices, in connection with dispute with Celltrion Healthcare Hungary arising in connection with the sale of medicines for the treatment of patients with COVID-19.
  • Advising Zip Co Limited, an Australian financial technology company, on its acquisition of Twisto Payments, a Czech FinTech leader in buy now pay later (BNPL) platforms; in addition to the acquisition, the transaction included all regulatory aspects and notifications to the Czech National Bank
  • Advising Berry Global, a global market-leading manufacturer of innovative plastic packaging and engineered products, on the sale of Promens Zlín to leading CEE private equity fund ARX and the Promens Zlín management
  • Advising Kiwi.com, a leading Czech online travel booking platform powered by cutting-edge technology, in connection with the sale of shares to General Atlantic, a leading global growth equity firm providing capital and strategic support for growth companies
  • Advising Globus, a German retail chain of hypermarkets, on a facilities agreement provided by a club of Commerzbank, Landesbank BadenWuerttemberg, Landesbank Saar and UniCredit Bank for the purposes of the refinancing of outstanding loan facilities, the finance of various operational costs, and the provision of a revolving loan and other products in the ancillary facility provided under the facilities agreement
  • Advising LINET Group, a major European manufacturer of hospital and nursing beds, on a syndicated revolving facility agreement, including assistance with the guarantee to be provided by the Czech group entities and corporate authorisation for the new facilities agreement
  • Advising PHOTON ENERGY, a global solar energy solutions and services company, in connection with the admission to trading of all of its shares on the regulated parallel markets of the Warsaw and Prague Stock Exchanges
  • Advising Karlin Group, a Prague-based developer, on the sale of 50% of the shares in two residential projects to a developer and investor PPF Real Estate for potential residential development worth CZK4 billion
  • Advising UBM Development Group, a leading Austrian developer, on the development and reconstruction of a property located in the heart of Prague, Czech Republic, into a five-star hotel operated by a renowned international hotel chain, and on EUR78 million financing provided by Raiffeisen Group
  • Representing PKN Orlen, a Polish oil refiner and petrol retailer, in several high-profile arbitrations initiated by Agrofert Holding over an arbitration award worth approx. CZK20 billion relating to the privatisation of a refinery and petrochemical company
  • Representing clients in institutional international arbitrations, mainly under ICC and UNCITRAL rules
