Russell's practice centers on advising private equity sponsors, strategic investors, and their portfolio companies through the full lifecycle of complex corporate transactions, including mergers and acquisitions, divestitures, joint ventures, recapitalizations, and strategic restructurings. While Russell brings broad transactional experience across multiple sectors, his practice is particularly concentrated in the healthcare, digital health, medical device, and life sciences industries, where he has developed deep fluency in the unique commercial, regulatory, and operational dynamics that shape dealmaking in these highly regulated spaces.

Russell represents a diverse range of clients from growth-stage platforms to national provider networks across virtually every segment of the healthcare delivery continuum.

His clients include private equity sponsors, healthcare facilities, physician practices, ambulatory surgery centers, dental service organizations, specialty pharmacies, urgent care platforms, dermatology and oncology practices, wound care providers, and durable medical equipment (DME) suppliers.

He routinely counsels these clients on mergers and acquisitions, joint ventures, divestitures, governance matters, management services organization (MSO) structuring, and general commercial transactions. Russell also plays a significant role in helping clients design and implement innovative, value-based care models, including the formation and structuring of clinically integrated networks (CINs), accountable care organizations (ACOs), independent physician associations (IPAs), and other provider organizations participating in value-based payment arrangements.

Representative Matters:
  • Advised a national provider of physician services in the divestiture of its radiology and teleradiology business and anesthesiology business
  • Advised a leading provider of minimally invasive spine services operating a network of ambulatory surgery centers and physician practices in the southeastern United States, on its acquisition by a New York-based private equity firm
  • Advising a New York based Medicaid value-based network of independent physician associations and managements services organizations focusing on ensuring access to care and improving health outcomes and the largest participant in New York’s Innovator VBP Program
  • Advised a specialty pharmacy in divesting certain pharmacy assets to CVS Pharmacy
  • A prominent California-based cancer treatment practice, in a complex acquisition of the business by a private equity firm focused in the healthcare space
  • Designed a DSO joint venture in connection with growth initiatives for dentist alignment strategy culminating in successful leveraged buyout to a private equity firm
  • Advised a Nasdaq-listed technology-enabled provider of value-based healthcare in its acquisition of the value-based Medicare business of a leading hospital system that covered nearly 200,000 patients across the country
  • Assisted client in its nearly US$600 million acquisition of the assets from a pharmacy benefit management services business
  • Represented multi-state health systems with respect to affiliation models, strategic reorganizations, managed care contracting and value-based payment arrangements, including for affiliated clinically integrated networks (CINs), accountable care organizations (ACOs), and other provider organizations
  • Assisted in establishing or acquiring/selling insurance companies and health maintenance organizations or otherwise assisting with regulation filings and compliance matters
  • Represented New Jersey Urology, the leading urology service provider in New Jersey, in its partnership and restructuring with J.W. Childs Associates, a leading middle-market private equity firm, in forming Urology Management Associates that provides administrative services to NJU
  • Represented North American Dental Group in its acquisition of multiple dental clinics
  • Represented Abry Partners in its acquisition of Dr. Dental
  • Represented ROARK in its acquisition of Great Expression Dental Centers
  • Represented Warburg Pincus in the acquisition of CityMD, a New York and New Jersey based urgent care provider
  • Currently representing private equity fund in acquisition of New York based population health management platform
