Marianna Spyropoulou advises fund managers and investment firms on asset management matters, including the structuring, set up and marketing of alternative investment funds across a range of asset classes. She works on both regulated and unregulated fund vehicles supporting clients operating in Luxembourg and internationally.

She assists clients throughout the lifecycle of their investment structures, including structuring, regulatory compliance, investor negotiations and ongoing operations. Marianna has experience working on complex fund platforms, including multi-compartment and multi-strategy structures, co-investment vehicles and special limited partnerships across private equity, venture capital, real estate, credit and infrastructure strategies. Her work also includes fund reviews, restructurings and transactions involving institutional investors and development finance institutions, as well as projects involving cross-border structuring and regulatory considerations.

Marianna previously worked in several international law firms in Luxembourg. More recently, she was part of the fund and investment structuring team a third-party management company, where she also served as a member of the Investment Committee, gaining insight into fund governance and investment decision-making processes.

Marianna's relevant experience includes advising:

  • Adams Street Partners, a leading US private equity manager on the structuring and establishment of a complex alternative investment fund platform in the form of a multi-compartment, multi-strategy reserved alternative investment fund (RAIF), designed to co-invest on a pari passu basis with US-based funds and dedicated to European institutional investors.
  • Dragon Capital on the structuring, establishment and launching of Rebuild Ukraine Fund SCSp (REBUF), a private equity fund seeking post-war-shock recovery opportunities in Ukraine, and on securing equity commitments from international development finance institutions (DFIs) at first closing.
  • A sovereign wealth fund of the UAE, on multiple cross-border fund reviews and related co-investment structures across private equity, infrastructure, real estate and credit strategies.
  • A Luxembourg reserved alternative investment fund structured as a multi compartment umbrella with 16 active compartments, on a complex intra fund restructuring affecting three compartments.
  • A Danish real estate fund of funds manager on the structuring and set up of a sustainable real estate investment fund under the form of an SCSp-RAIF.
  • A leading Swiss private assets manager on the structuring and set up of their second-generation flagship alternative investment fund in the form of a specialised investment fund (SIF) investing primarily in energy infrastructure assets.
