About

Marita specialises in mergers and acquisitions, corporate finance, private equity and general commercial work. She has 24 years of experience in private corporate transactions and has, for example, advised one of South Africa's largest telecommunications infrastructure corporations from their initial start-up about two decades ago, through multiple acquisitions over the years and up to their recent asset merger with one of South Africa's leading mobile networks. She also has some banking and finance experience, mostly acting for existing corporate clients as Borrower's counsel.

EXPERIENCE

  • Advising a Real Foods Proprietary Limited on the disposal of a significant part of its foods business to Virgin Active, as well as on the subscription for shares in Virgin Active.
  • Advising Real Foods, a multi-brand food group based in South Africa on the amalgamation of their Kauai and Nü restaurant chains into the Virgin Active Group.
  • Advising Community Investment Ventures Holdings (CIVH) in respect of:
    • the formation of a new intermediate infrastructure holding company to own its subsidiaries Dark Fibre Africa (DFA) and Vumatel;
    • the acquisition by DFA and Vumatel of certain infrastructure assets from Vodacom Group;
    • the acquisition by Vodacom Group of up to 30% of the shares in the new intermediate holding company in return for a combination of cash and assets.
  • Advising Seacom in respect of its acquisition of certain telecoms assets from EOH.
  • Advising New GX in respect of its investment in Sustainable Power Solutions Investments.
  • Advising Remgro Limited in the unbundling of all its shares in RMB Holdings Limited to its shareholders by way of a distribution in specie.
  • Advising Pembani Remgro on the formation of a new African rolling stock company.
  • Advising AFGRI Holdings Proprietary Limited in its successful bid to acquire 99.81% in the South African Bank of Athens from the National Bank of Greece.
  • Advising Rain Networks in respect of an issue of shares to African Rainbow Capital.
  • Advising TMH International LLP in respect of its acquisition of the rolling stock business of DCD Group Proprietary Limited.
