Andrew Payne is an experienced lawyer with significant expertise in undertaking debt restructuring and special situations transactions. He has significant private equity M&A experience and have acted on a number of high profile ‘secondaries’. In addition, he has a working knowledge of private equity fund formation matters. His Asia experience is wide ranging. He has undertaken transactions in Hong Kong, Singapore, China, Australia, South Korea, Thailand, Indonesia, Vietnam, Malaysia, Taiwan and India.

Andrew has been involved in a significant number of special situations / debt restructuring transactions (both in private practice and on client secondment at a private equity fund (Clearwater Capital)). His special situations experience is broad, he has advised rescue financiers, noteholders, insolvency office holders (such as receivers or liquidators), corporates and special situations funds, whether in relation to acquisitions or disposals of distressed assets or the negotiations in relation to the restructuring of those assets. Andrew has also been involved in drafting complex schemes of arrangement in Hong Kong, the Cayman Islands and Bermuda for the compromise of English law governed bonds and New York law governed High Yield Indentures.

Andrew's M&A experience is wide ranging and includes leveraged buy-outs, auction transactions, coinvestments for major institutional investors and portfolio acquisitions and disposals. He has particularly specialist experience in acting on 'secondaries' - that is, transactions involving the acquisition or disposal of private equity fund interests / equity interests / debt interests, whether as a single LP interest, portfolios of LP interests or portfolios of direct investments in the debt and/or equity of portfolio companies. He has undertaken transactions involving acquisitions of over 40 portfolio companies under a single framework agreement.
