Rita Chow practices litigation and regulatory disputes. She has extensive experience in a wide range of commercial dispute resolution matters in areas including international contractual disputes, regulatory matters, banking and financial disputes, cross-border shareholder disputes, tort, insolvency and restructuring. She has acted for clients from Hong Kong, the PRC, the UK, the US and around the world, and has represented clients in litigations before the Hong Kong courts and arbitral institutions.

EXPERIENCE

  • Acting for a Hong Kong listed company operating agri-products exchange in the PRC in its 23-day-trial at High Court and succeeded in the claim against several PRC entities for a sum of over RMB510m regarding a contractual dispute over the acquisition of the interest in a PRC company involving fraud. The case has involved a number of cross-border issues between Hong Kong and the PRC which was appealed to the Supreme People’s Court in the PRC.
  • Acting for a Taiwanese investment company in a shareholders' dispute concerning equity dilution and sale between a Taiwanese company holding solar power generation assets and the majority shareholder of a Cayman Islands joint venture holding company. The case involved a number of cross-border issues. The Hong Kong legal team, the Taiwan legal team and the Cayman Islands legal team worked closely on this case.
  • Acting for a London-based international family investment company in a successful litigation and enforcement action against a bond issuer in a contractual dispute over breach of a settlement agreement with a claim of RMB270m. The case involved complex legal issues relating to the structure of the bond holdings and the funding of the litigation. The Hong Kong and UK legal teams worked closely on the case.
  • Acting for a “Top 20 PRC Real Estate Developer” listed company with assets of over RMB250bn in defending a winding-up petition presented by a bondholder against the company. Apart from dealing with the winding-up proceedings, also assisted client and the family office of the controlling shareholder in dealing with various regulatory issues and advised the client throughout the restructuring exercise.
  • Acting for an affiliate of a Hong Kong listed securities company in a financial dispute over the appointment of a receiver in a rights issue and winding up of another Hong Kong listed securities company. The case involved complex legal issues and urgent applications for unfair prejudice, confirmation orders and winding up orders.  
  • Acting for a high-net-worth client in defending various private prosecutions brought against him for alleged breach of s.298 of the Securities and Futures Ordinance (SFO) for disclosing false or misleading information inducing transactions, conspiracy to perverting the course of justice and blackmail. Secured acquittal in all those criminal prosecution. We even assisted client in obtaining a monetary judgment for a sum of over HKD135m against the private prosecutor in a related civil proceeding after a 13-day-trial at High Court.
