About
Louise Hennessey is a debt capital markets lawyer who acts for issuers, arrangers, dealers and trustees on a wide range of domestic and cross-border structured, Islamic and conventional debt capital markets transactions, with a particular focus on social housing bond finance and emerging markets bond issuances. Louise has also acted for issuers, dealer managers and trustees on a number of liability management transactions. 

Having been based in Dubai, London, Singapore and Tokyo during her career as a DCM lawyer, Louise quickly adapts to the differing working practices of her clients and is particularly experienced in working with first-time issuers in the debt capital markets. 

EXPERIENCE

  • Advising issuers, arrangers and dealers on vanilla standalone bond issuances and EMTN/GMTN programme establishments, updates and drawdowns in multiple jurisdictions including the UK, Turkey, South Africa, Poland, Hungary, Czech Republic, Sweden, Denmark.
  • Advising social housing providers (and arrangers and dealers in respect of DCM transactions relating to social housing providers) on EMTN programme establishments, updates and drawdowns thereunder and standalone bond issues to provide funding for the provision of social housing across the UK.
  • Advising the Dealer Managers in respect of an exchange offer for a Turkish bank in respect of its outstanding regulatory capital instruments.
  • Advising issuers and arrangers on regulatory capital bond issuances in a number of countries including the UK, South Africa and Turkey.
  • Advising the arranger and dealers in respect of the establishment of a covered bond programme for a Romanian bank (at the time, the first covered bond programme to be established in Romania).
  • Advising on the establishment of, and drawdowns under, Islamic MTN programmes and standalone sukuk issuances.
  • Advising on private placements to multilateral investors with specific ESF criteria (including EIB, EIG, EBRD and IFC).
