Nada specialises in both private and public mergers and acquisitions (M&A). She also advises on corporate restructurings and general corporate law, including advice on corporate governance, structuring and establishment of share incentive schemes and black economic empowerment (BEE) transactions, as well as on general commercial law matters.

  • Advising EOH Holdings in respect of a R600m capital raise, including a R500m rights issue.
  • Advising Community Investment Ventures Holdings on the proposed acquisition by the Vodacom Group of a 30% indirect stake in Vumatel and Dark Fibre Africa, in a deal valued at approximately R13.2bn.
  • Advising Syngenta Crop Protection AG in respect of its acquisition of the South African Sensako Group.
  • Advising a major financial services firm on the proposed disposal of its Botswanan business.
  • Advising OUTsurance Holdings Ltd on its executive share incentive schemes.
  • Advising the FirstRand Ltd group on its BEE broad-based ownership schemes.
  • Advising Thirty-First Investments (Pty) Ltd in respect of a statutory merger in terms of section 113 of the South African Companies Act to affect a property portfolio consolidation.
  • Advising a major South African bank in respect of a potential bid to acquire a mid-tier South African bank.
  • Advising a major South African bank in respect of a potential bid to acquire a short-term insurance business.
  • Advising AFGRI Holdings (Pty) Ltd in its successful bid to acquire the entire stake (99.81%) of the National Bank of Greece S.A. in its subsidiary, the South African Bank of Athens.
  • Advising Dimension Data UK Investments Ltd on their acquisition of 75% of the shares in e2y Limited across South Africa, Spain, US and Denmark.
  • Advising a management consortium on the buy-out of 100% of the issued share capital of JSE listed mining company by way of a scheme of arrangement.
